Included Accounts definition

Included Accounts means all Accounts due to a Loan Party other than (a) Accounts due to a Loan Party in respect of which the obligor is one of the Parents or a Subsidiary of one of the Parents, (b) Accounts due to a Loan Party which are not subject to a valid and perfected first priority Lien in favor of the Administrative Agent or on which there is any other Lien in favor of any other person (other than Permitted Liens arising by operation of law), provided that the amount of any Accounts excluded from the definition of “Included Accounts” pursuant to this clause (b) as a result of the Equipment Financing Agreements shall be deemed to be $5,000,000 (or such other amount that is determined by the Administrative Agent, in its reasonable judgment and acting in good faith, as appropriate to reflect the amount of any Accounts so excluded from the definition of “Included Accounts” as a result of the Equipment Financing Agreements, with prompt written notice thereof to be given to the Borrower), and (c) Accounts due to a Loan Party that are characterized or otherwise presented on the consolidated balance sheet of the Borrower as doubtful.
Included Accounts means the Included Asset Accounts and the Included Liability Accounts.
Included Accounts means all accounts, contract rights, chattel paper, security agreements, instruments, deposit accounts, reserves, documents and general intangibles of Xxxxxxx, whether now owned or hereafter acquired, arising from or related to any sale or lease of any goods or services ("Accounts") by Xxxxxxx to: (i) the Boeing Company; (ii) the Defense Information Systems Agency, pursuant to contract order number DCA100-97-F-0117, dated as of January 9, 1997, as amended from time to time; (iii) the Defense Information Systems Agency, pursuant to contract order number DCA100-97-F-0108, dated as of January 3, 1997, as amended from time to time; (iv) the Bureau of the Census, pursuant to contract number 40YABC710511, dated as of January 15, 1997, as amended from time to time; (v) the Federal Emergency Management Agency, pursuant to contract order number EMW-97-DO-0198, dated as of March 17, 1997, as amended from time to time; (vi) the Federal Emergency Management Agency, pursuant to contract order number EMW-97-DO-0200, dated as of March 15, 1997, as amended from time to time; (vii) the Tennessee Valley Authority, pursuant to contract order number P-96PYL-188515-000, dated as of February 28, 1997, as amended from time to time, and each and every release or order thereunder; (viii) the Defense Information Systems Agency, pursuant to contract number NAS5-96012, Delivery Order Number VP01, dated as of May 20, 1997, as amended from time to time, and each and every additional release or order thereunder; and (ix) each and every additional contract to the extent specified in writing to the Agent by Xxxxxxx and DFS prior to any Accounts arising thereunder.

Examples of Included Accounts in a sentence

  • Anything herein to the contrary notwithstanding, the Assignors shall remain liable under each of the Included Accounts to observe and perform all of the conditions and obligations to be observed and performed by them thereunder, all in accordance in all material respects with the terms of any agreement giving rise to such Included Accounts.

  • No Assignor will do anything to impair the security interests of the Collateral Agent in the Included Accounts or Included Contracts.

  • All of the Included Accounts represent valid obligations arising from bona fide arms-length transactions in the ordinary course of business; Seller has received no notice from any obligor thereof challenging the validity or collectability of any such Included Accounts; and neither Seller nor Shareholder has Knowledge of any events or circumstances that would reasonably be expected to result in any such Included Accounts not being collectible in the ordinary course of business.

  • Said accounts receivable are hereinafter referred to as the “Included Accounts Receivable.” Purchaser is not purchasing any of the receivables of the Hotel, including, without limitation, the Included Accounts Receivable.

  • Purchaser and Seller shall cooperate in the collection of such accounts receivable (including, without limitation, the Included Accounts Receivable), and for such purpose, Seller shall be entitled to monitor and consult with Purchaser for a period of one hundred twenty (120) days following the Closing regarding the status of and procedure for collection of such accounts.

  • When calculating the value of the Included Accounts, these line items should be comprised of the specific trial balance accounts that were included in presenting these same Included Accounts, and the same classifications shall be used as were used, in the Company’s Audited Financial Statements and the example calculations below.

  • Each of the Borrower and its Subsidiaries represents and covenants that it owns or will own no depository accounts other than the Included Accounts and the Excluded Accounts.


More Definitions of Included Accounts

Included Accounts means client accounts presently or hereafter managed by the Included Employees, except those client accounts managed using the Vortex Investment style.

Related to Included Accounts

  • Excluded Accounts means any deposit account or securities account used exclusively as (a) payroll and other employee wage and benefit accounts, (b) tax accounts, including sales tax accounts, (c) escrow, fiduciary or trust accounts, (d) zero balance accounts and (e) the funds or other property held in or maintained in any such account identified in clauses (a) through (d).

  • Excluded Account means (a) any deposit account specifically and exclusively used for payroll, payroll taxes and other employee wage and benefit payments to or for the benefit of any Loan Party’s employees and (b) any Xxxxx Cash Accounts.

  • Excluded Deposit Accounts means, collectively, (i) payroll and payroll taxes accounts, workers’ compensation accounts and other employee wage and benefit payment accounts and xxxxx cash accounts, (ii) trust accounts and (iii) deposit accounts other than Collection Accounts and Collateral Deposit Accounts (as each such term is defined in the Revolving Credit Agreement), so long as the aggregate amount on deposit in all such deposit accounts does not exceed $2,500,000 in the aggregate at any time.

  • Designated Accounts as used in any security agreement means both the Designated Accounts hereunder and the “Designated Accounts” in the comparable agreement entered into with respect to any other Pledgor.

  • Blocked Accounts shall have the meaning set forth in Section 6.3 hereof.

  • Securities Accounts (i) shall mean all “securities accounts” as defined in Article 8 of the UCC and (ii) shall include, without limitation, all of the accounts listed on Schedule 4.4(A) under the heading “Securities Accounts” (as such schedule may be amended or supplemented from time to time).

  • Excluded Deposit Account means (a) any deposit account exclusively used for payroll, payroll taxes, and other employee wage and benefit payments to or for the benefit of Borrower’s employees and identified to Bank by Borrower as such and (b) any Xxxxx Cash Accounts.

  • Commodities Accounts (i) shall mean all “commodity accounts” as defined in Article 9 of the UCC and (ii) shall include, without limitation, all of the accounts listed on Schedule 4.4 under the heading “Commodities Accounts” (as such schedule may be amended or supplemented from time to time).

  • Client Accounts means accounts of Clients (i) that are Controlled by an Access Person and (ii) in which no Access Person has a substantial proportionate economic interest; provided that, the Client pays a management, advisory or any other similar arms-length fee to the Access Person and the beneficiary of the Client Account is not an Immediate Family member of an Access Person.

  • Concentration Accounts has the meaning ascribed to it in Annex C.

  • Collateral Accounts means any and all accounts established and maintained by the Pledgee in the name of any Pledgor to which Collateral may be credited.

  • Lockbox Accounts means the accounts maintained by Borrower at the Lockbox Banks into which all collections or payments on their Accounts and other Collateral are paid.

  • Investment Accounts means the Collateral Account, Securities Accounts, Commodities Accounts and Deposit Accounts.

  • Approved Deposit Account means a Deposit Account that is the subject of an effective Deposit Account Control Agreement and that is maintained by any Loan Party with a Deposit Account Bank. “Approved Deposit Account” includes all monies on deposit in a Deposit Account and all certificates and instruments, if any, representing or evidencing such Deposit Account.

  • Controlled Accounts means the Collection Account and the Unfunded Exposure Account.

  • Deposit Accounts means any “deposit accounts,” as such term is defined in the UCC, and includes any checking account, savings account, or certificate of deposit.

  • Cash Management Accounts means the bank accounts of each Loan Party maintained at one or more Cash Management Banks listed on Schedule 8.01.

  • Disbursement Accounts has the meaning ascribed to it in Annex C.

  • Blocked Account has the meaning provided in Section 6.13(a)(ii).

  • Management Accounts means unaudited accounts which shall incorporate a profit and loss statement, cash flow statement and balance sheet.

  • Deposit Account means a demand, time, savings, passbook or like account with a bank, savings and loan association, credit union or like organization, other than an account evidenced by a negotiable certificate of deposit.

  • Series Accounts means, collectively, the Finance Charge Account, the Principal Account, the Principal Accumulation Account, the Distribution Account, the Reserve Account and the Spread Account.

  • Related Account means an Account with respect to which a new account number has been issued by the applicable Account Owner or the Servicer (a)(i) resulting from a lost or stolen credit or charge card relating to such Account (if such Account is a credit or charge card account) or (ii) under circumstances not requiring the standard application and credit evaluation procedures under the Credit Guidelines applicable to such Account, and (b) that can be traced or identified by reference to or by way of Schedule 1 to this Agreement and the computer or other records of the applicable Account Owner or the Servicer.

  • Collection Accounts As defined in Section 3.10(a).

  • Linked Account means any controlled disbursement account, controlled balance account or other deposit account maintained by a Collection Account Bank for the Parent, the Performance Guarantor, the Servicer, any Originator or any Affiliate thereof and linked to any Collection Account by a zero balance account connection or other automated funding mechanism or controlled balance arrangement.

  • Lockboxes has the meaning set forth in Section 2.7.
