Examples of Incentive Fee Calculation Date in a sentence
For the avoidance of doubt, it is intended that the definition of Incentive Fees shall not include any portion of an applicable incentive fee or promote (or equivalent) that was paid by the Fund based on the Company Group’s percentage ownership interest in the applicable Fund as of the Incentive Fee Calculation Date.
The first Incentive Fee Calculation Date for monies invested after April 1, 2013 (but prior to June 30, 2013) will be June 30, 2013 and will be calculated for the period beginning April 2, 2013 (or the date of investment, if after April 1, 2013) and ending June 30, 2013.
Any Incentive Fee payable to the Trading Advisor will be paid by the Company within approximately 30 days following the applicable Incentive Fee Calculation Date (or the date which is treated as an Incentive Fee Calculation Date) but in no event later than 45 days following such date).
The Offshore Fund will pay to the Trading Advisor, as of each Incentive Fee Calculation Date, an incentive fee, calculated and payable in U.S. dollars, equal to 20% of any Offshore New Trading Profit (defined below) recognized by the Offshore Fund as of such Incentive Fee Calculation Date (the “Offshore Incentive Fee” and together with the Onshore Incentive Fee, the “Incentive Fee”).
The first Incentive Fee Calculation Date for the Initial Investment will be March 31, 2014, for the period January 1, 2014 to March 31, 2014.
For the avoidance of doubt, New Trading Profit is calculated for the entire Fund and then allocated among the Classes of Interests pro rata in proportion to their respective net asset values (prior to the reduction for any Incentive Fees, Management Fees or Sponsor’s Fees being calculated as of such Incentive Fee Calculation Date).
For the avoidance of doubt, December 31 of the calendar year that includes the date of this Agreement is an Incentive Fee Calculation Date.
