ICT Guaranty definition

ICT Guaranty means a guaranty, in substantially the same form as set forth in Appendix D, provided by a Guarantor in favor of the Companies guaranteeing a XXXX Supplier’s financial obligations in connection with ICT.
ICT Guaranty means a guaranty, in substantially the same form as set forth in Appendix D, provided by a Guarantor in favor of DP&L guaranteeing a XXXX Supplier’s financial obligations in connection with ICT. Indemnified Supplier has the meaning set forth in Section 12.1(b). Independent Credit Requirement or ICR means an amount required as security under Section 6.3, to mitigate the risk to DP&L of Energy price movements between the date of an Early Termination caused by an Event of Default by a XXXX Supplier and the date the final calculation of Default Damages owing to DP&L under Section 5.2(c) is made. Independent Credit Threshold or ICT means an amount of credit, based on the creditworthiness of a XXXX Supplier or its Guarantor, if applicable, determined pursuant to Section 6.4, granted by DP&L to such XXXX Supplier to be applied towards the satisfaction of such XXXX Supplier's Independent Credit Requirement.
ICT Guaranty means a guaranty, in the form substantially set forth in Appendix E, provided by a Guarantor in favor of The Dayton Power and Light Company guaranteeing an SSO Supplier’s financial obligations in connection with ICT. Indemnified Supplier has the meaning set forth in Section 12.1(b). Independent Credit Requirement or ICR means an amount per Tranche required as security under Section 6.3, to mitigate the risk to The Dayton Power and Light Company of Energy price movements between the date of an Early Termination caused by an Event of Default by an SSO Supplier and the date the final calculation of Default Damages owing to The Dayton Power and Light Company under Section 5.2(c) is made. Independent Credit Threshold or ICT means an amount of credit, based on the creditworthiness of an SSO Supplier or its Guarantor, if applicable, determined pursuant to Section 6.4, granted by The Dayton Power and Light Company to such SSO Supplier to be applied towards the satisfaction of such SSO Supplier's Independent Credit Requirement.

Examples of ICT Guaranty in a sentence

  • If an ICT Guaranty is provided for an unlimited amount, the XXXX Supplier will be granted an ICT up to the maximum ICT shown in the table above.

  • The ICT Guaranty tendered by the XXXX Supplier to satisfy the ICT requirement arising under this Section 6.4 shall be a separate guaranty from the Total Exposure Amount Guaranty, if any, tendered by the XXXX Supplier to satisfy any requirement for a Credit Limit to cover the Total Exposure Amount arising under Section 6.6; provided, however, that a single Guaranty may be provided if such Guaranty is for an unlimited amount.

  • Parent Guaranty means the guaranty of the Parent pursuant to Section 15.

  • Guaranty Agreement means a supplemental indenture, in a form satisfactory to the Trustee, pursuant to which a Subsidiary Guarantor guarantees the Company’s obligations with respect to the Securities on the terms provided for in this Indenture.

  • Limited Guaranty With respect to any Series (or Class within such Series), any guarantee of, or insurance policy or other comparable form of credit enhancement with respect to, amounts required to be distributed in respect of such Series (or Class) or payments under all or certain of the Underlying Securities relating to such Series or Class, executed and delivered by a Limited Guarantor in favor of the Trustee, for the benefit of the Certificateholders, as specified in the related Supplement.

  • Performance Guaranty means the Performance Guaranty, dated as of the Closing Date, entered into by Performance Guarantor in favor of Administrative Agent.

  • Parent Guarantee means the guarantee provided by the Parent Guarantor for purposes of financial reporting.

  • Company Guaranty means the Company Guaranty made by the Company in favor of the Administrative Agent and the Lenders, substantially in the form of Exhibit F.
