  • Shares of ICG Common Stock issued in the Exchange shall be issued, and be deemed to be outstanding, as of the Effective Time.

  • No dividends or other distributions declared or made after the Closing with respect to ICG Common Stock with a record date after the Closing Date will be paid to the holder of any unsurrendered Certificate with respect to the shares of ICG Common Stock represented thereby, until the holder of record of such Certificate surrenders such Certificate as provided herein.

  • This Guarantee shall terminate and be of no further force and effect as to the Preferred Securities of any series upon (a) full payment of the Redemption Price of all outstanding Preferred Securities, or (b) the exchange (in the manner provided in the LLC Agreement and the Declaration) of all of the Preferred Securities for ICG Common Stock.

  • Notwithstanding the provisions of clause (ii) of the preceding sentence, ICG will not be obligated to issue any fraction of a share of ICG Common Stock upon exercise of Company Options.
