After the Expiration Date or the earlier termination of this Agreement, Landlord agrees to honor all reservations and bookings made by Tenant in accordance with the Hotel Standard and reasonable commercial practice.
If Owner does not elect to repair, rebuild or replace the Hotel, and in its damaged condition, the Hotel cannot be operated in accordance with the First-Class Hotel Standard, then either Operator or Owner shall have the right to terminatethis Agreement upon no less than ninety (90) days’ notice to the other party.
Neither Party shall withhold any consent or approval hereunder in respect of any matter that is reasonably necessary for the continuous operation of the Hotel according to the Hotel Standard and the terms of this Agreement.
If there is a taking or condemnation of all or part of the Hotel for temporary use not in excess of 2 years, this Agreement shall remain in full force and effect, and to the extent that the temporary taking only relates to a portion of the Hotel, if Hyatt reasonably determines that the unaffected portion can be operated consistent with the Hotel Standard and subject to Applicable Law, then operations shall continue in such portion of the Hotel, pursuant to the provisions of this Agreement.
Tenant shall not take or omit to take (and Tenant shall cause the Manager not to take or omit to take) any action, the taking or omission of which materially impairs the value or the usefulness of the Leased Property or any part thereof for its Permitted Use in accordance with the Franchise Agreement and the Hotel Standard.
Owner may, from time to time, at its sole expense,make such replacements, substitutions, alterations, additions or improvements (exclusive of FF&E) in or to the Hotel as Owner shall determine, or as may be necessary to comply with any Mortgage, the Franchise Agreement, or Legal Requirements, or to maintain the Hotel pursuant to a First Class Hotel Standard.
Tenant shall, at all times during the term and at any other time that Tenant shall be in possession of the Leased Property, continuously use and operate, and cause the Manager to use and operate, the Leased Property as a commercial hotel which meets or exceeds the Hotel Standard and any uses incidental thereto.
If the whole of the Hotel shall be taken or condemned in any eminent domain, condemnation, compulsory acquisition or like proceeding by any competent authority or if such a portion thereof shall be taken or condemned as to make it imprudent or unreasonable, in the sole opinion of Owner, to operate the remaining portion of the Hotel in accordance with the First Class Hotel Standard, then the Term shall terminate as of the date title vests in the condemning authority.
Tenant shall not take or omit to take (and shall cause the Manager not to take or omit to take) any action, the taking or omission of which would materially and adversely impair the value or the usefulness of the Leased Property or any part thereof for its Permitted Use in accordance with the Franchise Agreement, the Hotel Standard, and the Ground Lease.
On and subject to the terms and conditions of this Agreement, from and after the Effective Date until the termination of this Agreement, Owner hereby grants to Manager, and Manager accepts, the sole and exclusive right and authority during the Operating Term to supervise, direct and control the management, operation and promotion of the Hotel, as the agent of Owner, in accordance with the Hotel Standard.
