Holding Party definition

Holding Party has the meaning set forth in Section 2.12(a).
Holding Party has the meaning given to it in Clause 2.7.1.
Holding Party means a hypothetical broker/dealer which is deemed to be (as determined by the Calculation Agent in the context of the relevant situation) domiciled and subject to taxation, securities law and regulations in Germany and/or any jurisdiction where Deutsche Bank, AG and/or any of its Affiliates would, in the determination of the Calculation Agent, be able to hold the Holding and which is deemed to notionally hold the Holding throughout the life of the Securities.

Examples of Holding Party in a sentence

  • Under no circumstances may a present or former Holding Party "trade on" such information or otherwise use it, directly or indirectly, for personal gain or for the benefit of any party other than the owner of such information.

  • A failure by the Lodging Party to lodge the Security with the Holding Party within the time period specified in the Confirmation constitutes a Financial Default.

  • If at any time the Holding Party draws upon the Security pursuant to its rights under this Agreement, then the Lodging Party must within 10 Business Days of the Lodging Party being notified that the Security has been drawn upon, re-instate the amount of the Security to its full amount.

  • A party who is required to do so under a Confirmation (Lodging Party) must lodge with the other party (Holding Party) security for the due and faithful performance of this Agreement an amount equal to the security amount specified in the Confirmation within the time period specified in that Confirmation (Security).

  • The Lodging Party may provide the Security in cash or in the form of an unconditional irrevocable enforceable banker's undertaking payable on demand in the form as the Holding Party may reasonably require, upon which any applicable Western Australian duty has been paid (if any) and which is given by a bank licensed to carry on business in Australia or in any other form that the Holding Party and Lodging Party agree to.
