HoldCo Options definition

HoldCo Options means options to purchase shares of Holdco Common Stock.
HoldCo Options means options to purchase HoldCo Ordinary Shares from HoldCo (whether granted by HoldCo pursuant to a HoldCo Equity Plan, assumed by HoldCo in connection with any merger, acquisition or similar transaction (including the Contemplated Transactions) or otherwise issued or granted and whether vested or unvested).
HoldCo Options has the meaning given in clause 4.5(a).

Examples of HoldCo Options in a sentence

  • Future options, if any, you may receive from HoldCo will be governed by the terms of the HoldCo stock option plan under which such options are granted, and such terms may be different from the terms of your HoldCo Option(s), including, but not limited to, the time period in which you have to exercise vested options after your termination of service.

  • To exercise your HoldCo Option(s), you must notify HoldCo by completing a “Notice of Exercise of Stock Option” in a form approved by HoldCo and filing it with the Human Resources Department of HoldCo. Any notice of exercise must specify how many shares of HoldCo common stock you wish to purchase and how such shares should be registered.

  • The shares of HoldCo Common Stock issued in accordance with the Transfers and issuable upon exercise of the HoldCo Options shall have been authorized for listing on the NASDAQ National Market or the New York Stock Exchange, subject to official notice of issuance.

  • HoldCo has reserved an aggregate of 1,768,865 shares of HoldCo Common Stock for issuance pursuant to the HoldCo Stock Plans (including shares subject to outstanding HoldCo Options).
