Holdco Common Shares definition

Holdco Common Shares means the common stock of Holdco, par value $0.01 per share.

Holdco Common Shares means the common shares in the capital of Holdco;

• The tax basis of the Holdco Common Shares received pursuant to the Merger will be the same as the basis of the shares of Berkshire Gas Common Stock exchanged therefor.

• No gain or loss will be recognized by the holders of Berkshire Gas Common Stock upon the exchange of their shares of Berkshire Gas Common Stock solely for Holdco Common Shares pursuant to the Merger.

• At the Wejo Effective Time, each Wejo RSU Award that is outstanding immediately prior to the Wejo Effective Time, whether vested or unvested, shall, automatically and without any required action on the part of any holder or beneficiary thereof, be converted into a restricted stock unit award (a “Holdco RSU Award”) in respect of that number of Holdco Common Shares equal to the total number of Wejo Common Shares subject to the Wejo RSU Award immediately prior to the Wejo Effective Time.

More Definitions of Holdco Common Shares

Holdco Common Shares means the common stock of Holdco, par value $0.01 per share. “Holders” means the holders of Holdco Common Shares who are parties to the Stockholder Agreement as set forth in Schedule I thereto, as the same may be amended or supplemented from time to time. “Improper Release” has the meaning set forth in Section 3.3. “Indebtedness” means, with respect to any Person, (a) all indebtedness of such Person, whether or not contingent, for borrowed money, and (b) all obligations of such Person evidenced by notes, bonds, debentures or other similar debt instruments. “Initial Deposit” has the meaning set forth in Section 2.1. “Initial Person” has the meaning set forth in the definition of “beneficially owned.” “Jurisdiction” has the meaning set forth in Section 10.6(b). “IP Purchase and Sale Agreement” means that certain IP Purchase and Sale Agreement, dated as of the date hereof, between EVERTEC and Popular. “Law” means any federal, national, supranational, state, provincial, Commonwealth, local or foreign or similar law, statute, ordinance, rule, regulation, code, Order, writ, judgment, injunction, directive, guideline or decree enacted, issued, promulgated, enforced or entered by a Government Entity or Self-Regulatory Organization (including, for the sake of clarity, any policy statement or interpretation that has the force of law with respect to any of the foregoing, and including common law). “Legal Holiday” means Saturday, Sunday or any legal holiday in the Commonwealth of Puerto Rico that is observed by EVERTEC. “Losses” has the meaning set forth in Section 8.1.

Holdco Common Shares means the $0.01 par value common stock of Holdco. “Holdco Pension Plan” has the meaning specified in Section 7.22(g).

Holdco Common Shares means common shares in the capital of Holdco. “Holdco preferred shares” means preferred shares in the capital of Holdco. “ICA” means the Colombian Agricultural Institute.

Holdco Common Shares means the outstanding voting common shares and non-voting common shares of capital stock of Holdco.

Holdco Common Shares means common shares, par value $0.001 per common share, of Holdco. (z) “Holdco Organizational Documents” means the memorandum of association and bye-laws of Holdco to be adopted by Holdco upon its formation. (aa) “Indebtedness” shall mean with respect to any Person as of any time, without duplication, (i) all indebtedness for borrowed money of such Person or indebtedness issued by such Person in substitution or exchange for borrowed money; (ii) indebtedness evidenced by any note, bond, debenture or other debt security, in each case, as of such time of such Person; (iii) obligations of such Person for the deferred purchase price of property or other services (other than trade payables or compensation or benefits incurred in the ordinary course of business); (iv) all obligations as lessee that are required to be capitalized in accordance with GAAP; (v) all obligations of such Person for the reimbursement of any obligor on any line of credit, banker’s acceptance, guarantee or similar credit transaction, in each case, to the extent drawn or claimed against; (vi) all interest rate and currency swaps, caps, collars and similar agreements and hedging devices under which payments are obligated to be made by such Person; (vii) accrued but unpaid bonuses (including bonuses to be paid in connection with the transactions contemplated by this Agreement, if any) with respect to any Wejo Employee or Wejo Service Provider, together with all employer-side payroll and similar Taxes thereon; (viii) unpaid severance with respect to any former employee, individual independent contractor, or other non-employee service provider of Wejo or any Wejo Subsidiary, together with all employer-side payroll and similar Taxes thereon; (ix) any premiums, prepayment fees or other penalties, fees, costs or expenses associated with payment of any Indebtedness of such Person; (x) any Liabilities in respect of any underfunded or unfunded Wejo Benefit Plan; and (xi) all obligations of the type referred to in clauses

Holdco Common Shares means the common shares of HoldCo to be issued to Encana prior to the Effective Date;

Holdco Common Shares shall have the meaning set forth in the Parent Subscription Agreement;
