  • Consideration, payment terms and basis of consideration Each relevant member of the HMLP Group is required to pay its share of all costs and expenses incurred by HOOL in the performance of its duties and responsibilities, including reasonable professional, legal, accounting and administrative costs and expenses.

  • Payment is to be made by GPCo (for itself or on behalf of the relevant member of the HMLP Group) within 30 days of receipt of the statement of expenses issued by HOOL on a monthly basis.

  • For other costs and expenses under the Management and Operating Services Agreement, they are allocated to the relevant project or work of the HMLP Group.

  • Total Interest Bearing Debt: means, on any date, the consolidated book value of the Issuer's total interest-bearing debt, less any interest-bearing debt of any Group Company, any JV Company or a member of the HMLP Group financed without any recourse to any (other) Group Company, calculated in accordance with GAAP.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Partnership Group Member means any member of the Partnership Group.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Customer Group means Customer and any of its Affiliates;

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Group Companies means the Company and its Subsidiaries.
