Hedged Shares definition

Hedged Shares means hedged shares of any class within any Portfolio in the Umbrella Fund.
Hedged Shares means, at any date of determination, collectively any of the Pledged Shares comprising common stock issued by Microsoft Corporation or any other corporation agreed to by the Bank, for which the Borrower and the Bank have then been provided protection satisfactory to the Bank against a decrease in the market value of such Pledged Shares below a level or price per share satisfactory to the Bank as specified in, and pursuant to, an Equity Hedge Agreement as to which the then remaining period of such protection provided to the Borrower and the Bank under such Equity Hedge Agreement shall exceed five Business Days and as to which no event shall have occurred and no condition shall exist the effect of which is to liquidate, or to permit the liquidation of, any payments, sums or other amounts under such Equity Hedge Agreement or to terminate, or to permit the termination of, such Equity Hedge Agreement, or to accelerate, or to permit the acceleration of, the maturity of any of the Credit Document Obligations under such Equity Hedge Agreement.
Hedged Shares means hedged shares of any class within any Portfolio in the Umbrella Fund. "Hedging Agent" means The Bank of New York Mellon. "Index" means, in respect of a Portfolio, the index which it is the investment objective of such Portfolio to replicate or provide exposure to, as set out in the relevant Supplement. "Institutional Investors" means institutional investors, as defined by guidelines or recommendations issued by the Regulatory Authority from time to time. "Investment Management Agreement" means the agreement entered into among FundRock Management Company S.A., the Umbrella Fund and the Investment Manager on 10 September 2018, as novated to the Management Company pursuant to a novation and amendment agreement dated 25 February 2019 and amended and restated on 25 February 2019, pursuant to which Amundi Asset Management has been appointed as the investment manager by the Management Company at the request and with the consent of the Umbrella Fund, as such agreement may be amended, novated or supplemented from time to time. "Investment Manager" means Amundi Asset Management. "IRS" means the U.S. Internal Revenue Service. "KIID" means the "key investor information document", in the meaning of the UCITS Regulations, issued by the Umbrella Fund for a class or classes of Shares, as applicable, updated from time to time. "List of Share Classes" means the complete list of available Share classes which may be obtained from the Umbrella Fund’s website https://www.gsfundsolutions.com/ or upon request at the registered office of the Umbrella Fund. "Local Business Day"

Related to Hedged Shares

  • Pledged Securities means any promissory notes, stock certificates or other securities now or hereafter included in the Pledged Collateral, including all certificates, instruments or other documents representing or evidencing any Pledged Collateral.
