Haleon Group means Haleon and its subsidiaries and subsidiary undertakings from time to time;
Haleon Group means JVCo, Haleon, their respective subsidiaries and subsidiary undertakings from time to time and: (a) the GSK Delayed Companies; and

  • Transformation of the Haleon Group The Group’s consumer healthcare business has been reshaped for growth since 2015 through: • the divestment of growth-dilutive brands (including approximately 50 non-strategic and growth-dilutive OTC and skincare assets from 2019 to 2021 to raise £1.1 billion of net proceeds); • the increased contribution to revenue from higher-growth Power Brands from 44 per cent.

  • One of the former participating employers in the GSK UK Pension Schemes and the SBSEPP is a company within the Haleon Group (the “Haleon Employer”).

  • The Board believes that the Haleon Group has a compelling financial profile over the medium term (on a constant currency basis) that will deliver attractive shareholder returns, based on: • expected annual Organic Revenue Growth of 4 to 6 per cent., ahead of the broader consumer healthcare market; • sustainable moderate expansion of Adjusted Operating Profit Margin; and • continued high Free Cash Flow Conversion.

  • If the Haleon Group does not effectively develop and implement these capabilities, or it is unable to source further arrangements from third- party providers, its business, results of operations, financial condition and prospects could be materially and adversely affected.

  • As part of the steps relating to the Demerger and Separation (described in further detail in paragraph 13 of this Part 1 (Letter from the Chair)), the SLPs will exchange unlisted shares conferring an interest in the Haleon Group for shares in Haleon.

  • As the Haleon Group does not currently have the capabilities to provide these services internally, on a standalone basis, without third-party support, the Transition Services Agreement provides contractual protections for the continued provision of these services during the relevant transitional period, absent which the Haleon Group would need to procure these services from other third-party providers.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Risk retention group means any corporation or other limited liability association:

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Aggregation Group means either a Required Aggregation Group or a Permissive Aggregation Group as hereinafter determined.

  • Pooled fund group means an internally created fund of a district in which one or more institutional accounts of a district are in- vested.

  • Group the Company and its subsidiaries

  • Comparison Group means a sample group of organisations providing Comparable supply of Services which consists of organisations which are either of similar size to the Supplier or which are similarly structured in terms of their business and their service offering so as to be fair comparators with the Supplier or which, are best practice organisations;

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Group Business Entity means;

  • Women Business Enterprise (WBE) as used in this policy means a business enterprise that meets all of the following criteria:

  • Required Aggregation Group means: (i) each qualified plan of the Employer in which at least one Key Employee participates at any time during the Determination Period; and (ii) any other qualified plan of the Employer which enables a plan described in clause (i) to meet the requirements of Code Section 401(a)(4) or of Code Section 410.

  • the Group means the Company and its subsidiary undertakings (if any); and

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Work group means a crew or number of crews which work from a common point of assembly and perform work of a similar nature in a defined seniority block. Where more than one (1) work group works from a common point of assembly the work groups will be defined by the Employer.

  • Member means a member of the Board;

  • Women Owned Business Enterprise or "WBE" means a firm awarded certification as a women owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a women owned business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.
