Guarantor of Payment definition

Guarantor of Payment means each of the Companies set forth on Schedule 2 hereto, that are each executing and delivering a Guaranty of Payment, or any other Person that shall deliver a Guaranty of Payment to Agent subsequent to the Closing Date.
Guarantor of Payment means any Subsidiary that executes and delivers a Guaranty of Payment on or after the Closing Date, or any other Person that shall deliver a Guaranty of Payment to the Agent or any Bank on or after the Closing Date.
Guarantor of Payment means a Domestic Guarantor of Payment or Foreign Guarantor of Payment, or any other Person that shall deliver a Guaranty of Payment to Agent subsequent to the Closing Date.

Examples of Guarantor of Payment in a sentence

  • Each Guarantor of Payment shall have executed and delivered to Agent a Guaranty of Payment.

  • No Company shall be or become a primary obligor or Guarantor of the Indebtedness incurred pursuant to any Material Indebtedness Agreement unless such Company shall also be a Guarantor of Payment under this Agreement prior to or concurrently therewith.

Guarantor of Payment means each of the Companies set forth on Schedule 2 hereof, that are each executing and delivering an Amended and Restated Guaranty of Payment, or any other Person that shall deliver a Guaranty of Payment to Agent subsequent to the Effective Date.
Guarantor of Payment means any Person which shall deliver a Guaranty of Payment to Agent subsequent to the Closing Date.
Guarantor of Payment shall have the meaning given in paragraph 1C.
Guarantor of Payment means Parent and each of the Companies designated a “Guarantor of Payment” on Schedule 2 hereto, each of which is executing and delivering a Guaranty of Payment on the Closing Date, and any other Person that shall execute and deliver a Guaranty of Payment (or Guaranty of Payment Joinder) to Agent, or become a party by joinder to the Guaranty of Payment that was executed on the Closing Date subsequent to the Closing Date.
Guarantor of Payment means each of the Companies set forth on Schedule 2 hereto from time to time that executes and delivers a Guaranty of Payment to Agent in respect of the Obligations, or any other Person that shall deliver a Guaranty of Payment to Agent in respect of the Obligations; provided, however, that (a) none of Percepta or Global shall at any time constitute a Guarantor of Payment, (b) no Foreign Subsidiary or Dormant Subsidiary shall be required to be a Guarantor of Payment, and (c) no joint venture, partnership, limited liability company or captive insurance company in which Borrower or any other Company holds an interest shall be required to be a Guarantor of Payment if such Person’s charter documents or applicable statutes or regulations prohibit such a guaranty.
