Guarantee Event definition

Guarantee Event has the meaning specified in Section 2.02(c).

Guarantee Event means, with respect to any Guarantee Agreement, a “Guarantee Event” within the meaning of such Guarantee Agreement, without giving effect to the second proviso thereof.

Guarantee Event has the meaning assigned to such term in Section 3.6(c).

Examples of Guarantee Event in a sentence

• Upon the occurrence of a Guarantee Cure Event, the Fund shall, on the Business Day following the date of the Guarantee Cure Event, provide the Treasury and its designee with a Guarantee Event Cure Notice in the form of Exhibit A-1 (“Guarantee Cure Event Notice”) and a Portfolio Schedule as of the date of the Guarantee Cure Event.

• Further, the Trustee Collateral will only be enforced in accordance with the Trust Agreement and, in particular, upon the occurrence of a Note Event of Default (and not already upon the occurrence of a Guarantee Event).

• Upon the occurrence of a Guarantee Event, the Guarantor is expected to make payments under the Guarantee.

• As from the occurrence of a Guarantee Event, any proceeds received from the enforcement of the Related Collateral may be allocated pari passu and on a pro rata basis towards (i) satisfaction of such other claims of the respective Seller and (ii) towards satisfaction of the related Relevant Loan Receivable(s) with the consequence that only a portion of the proceeds received from the enforcement of the Related Collateral may be allocated to the Relevant Loan Receivable(s).

• The relevant transfer events are that the respective Seller’s claim for the payment of the purchase price for the relevant Purchased Loan Receivables has been satisfied and, in addition, a Guarantee Event has occurred.

More Definitions of Guarantee Event

Guarantee Event means the occurrence of the purchase by NNG of Litton common and preferred stock in accordance with the Exchange Offer.

Guarantee Event with respect to a Fund shall mean the first date after the Agreement Date on which the Market-Based NAV of the Fund is less than $0.995, as determined at the time of the determination, in accordance with Rule 22c-1, of the Fund’s final NAV for such date, provided, however, that if a Guarantee Event occurs prior to the Execution Date, then the Guarantee Event shall be deemed to have occurred on the Execution Date, provided, further, that if the Market-Based NAV of the Fund is greater than or equal to $0.995 on any date after such Guarantee Event but prior to the commencement of liquidation of the Fund as provided under Section 2(c)(iii) (determined at the time of the determination, in accordance with Rule 22c-1, of the Fund’s final NAV for such date), subject to the delivery of the notice provided for in Section 2(g), the Guarantee Event will be deemed to have not occurred (a “Guarantee Cure Event”).
