Group Membership definition

Group Membership means (in relation to each Scheme) (except as otherwise expressly provided in the Specific Scheme Membership Terms applicable to such Scheme) membership by a Member both for itself and for and on behalf of: (i) all other Subsidiaries of the Common Holding Company to which that Member belongs whose names and registered numbers are set out on the Application Form (applicable to such Scheme) or are subsequently notified to and consented by Valpak pursuant to clause 9.6; and (ii) the Common Holding Company;
Group Membership means (subject to clause 8.7) membership of the DTS by a Member both for itself and for and on behalf of: (a) all other Subsidiaries of the Common Holding Company to which that Member belongs whose names and registered numbers are set out on the applicable Application Form; and (b) the Common Holding Company;
Group Membership means membership of Recycle-Pak by a member both for itself and for and on behalf of all other Subsidiaries of the Holding Company to which that Member belongs whose names and registered numbers are set out on the subsidiary application form.

Related to Group Membership

  • Group Member means a member of the Partnership Group.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Parent Subsidiary means any Subsidiary of Parent.

  • Controlled Group Member means each trade or business (whether or not incorporated) which together with any Loan Party is treated as a single employer under Sections 4001(a)(14) or 4001(b)(1) of ERISA or Sections 414(b), (c), (m) or (o) of the Code.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Acquired Entity means any entity acquired by the Company or a Related Company or with which the Company or a Related Company merges or combines.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Current Subsidiary means any Person in which the Company on the Subscription Date, directly or indirectly, (i) owns any of the outstanding capital stock or holds any equity or similar interest of such Person or (ii) controls or operates all or any part of the business, operations or administration of such Person, and all of the foregoing, collectively, “Current Subsidiaries”.

  • Group Companies means the Company and its Subsidiaries.

  • Company Real Property means the Company Owned Real Property and the Company Leased Real Property.
