Gross Offering Proceeds definition

Gross Offering Proceeds means the total proceeds from the sale of 500,000,000 Shares in the Offering before deducting Offering Expenses. For purposes of calculating Gross Offering Proceeds, the selling price for all Shares, including those for which volume discounts apply, shall be deemed to be $10.00 per Share. Unless specifically included in a given calculation, Gross Offering Proceeds does not include any proceeds from the sale of Shares under the Company’s distribution reinvestment plan.

More Definitions of Gross Offering Proceeds

Gross Offering Proceeds. The aggregate purchase price of Shares sold in any Offering. “Independent Appraiser.” A qualified appraiser of real estate as determined by the Board, who is not affiliated, directly or indirectly, with CPA: 17, the Advisor or their respective Affiliates. Membership in a nationally recognized appraisal society such as the American Institute of Real Estate Appraisers or the Society of Real Estate Appraisers shall be conclusive evidence of such qualification.

Notwithstanding the foregoing, “Gross Receipts”, etc. described in this paragraph, shall specifically exclude any and all revenues that might flow from subsequent seasons of the Series, from any spinoffs or sequels thereof and from any musicals or other productions emanating from or otherwise featured or displayed on, said subsequent seasons or versions of the Series; nor shall they include any monies due to be paid to any co-financing entity.
