In connection with any renewal, if you are no longer providing technical support fees to an end user for the Grandfathered Programs you must notify Oracle and then the renewal fees will be adjusted accordingly.
You and Oracle acknowledge that you have distributed the programs or their predecessors to end users under a prior agreement with Oracle or a company that has been acquired by Oracle (“Grandfathered Programs”) and that you have provided and intend to continue to provide technical support services to such end users for the Grandfathered Programs.
Univision and Televisa desire to amend the Existing IPRA as between Univision and Televisa in order to effectuate a reversion to Univision of the right, title and interest in and to the Grandfathered Programs and New Programs that were granted to Televisa pursuant to the Existing IPRA; provided, that this Amendment shall not affect the rights, entitlements and obligations of Venevision under the Existing IPRA.
For the first year of the Distribution Term, the fee for technical support for the Grandfathered Programs shall be [******] (“Grandfathered Technical Support Fee”).
Televisa and Venevision previously entered into that certain Grandfathered Programs Distribution Agreement, dated as of June 1, 2006, effective as of June 1, 2005 (as the same may have been, and may hereafter be, amended, the “GPDA”), and nothing herein is intended to, or does, alter or limit any rights or obligations of Televisa or Venevision under the GPDA.
For the avoidance of doubt, the Specified Univision Content shall in no event include (i) any Grandfathered Programs for the Venevision Territory; or (ii) any Excluded IPRA Programs, in each case, until the Venevision Rights Termination Date.
The “Sales Agency Territory” as used herein shall mean the world, excluding only (a) the United States of America, including all territories and possessions thereof including Puerto Rico; (b) the United Mexican States, including all territories and possessions thereof; (c) until the Venevision Rights Termination Date, Venezuela; and (d) solely with respect to Grandfathered Programs until the Venevision Rights Termination Date, the Venevision Territory.
The renewal fee for the first year following the end of the Distribution Term for technical support for the Grandfathered Programs shall be equal to the Grandfathered Technical Support Fee paid for the last year of the Distribution Term plus Oracle’s then current technical support annual percentage increase which shall not exceed 4%.
It is the intent of Univision and Televisa to effectuate a reversion to Univision of all of the rights in and to the Grandfathered Programs granted to Televisa pursuant to the Existing IPRA.
Technical support services you provide to such end users hereunder for the Grandfathered Programs apply solely to your install base to which you distributed such Outside In programs during the distribution term of the Stellent Chicago Sales, Inc.
