MDLP shall substantially complete the construction of the Traffic and Infrastructure Improvements described in Sections 3.2(a)(i) through (iv) of the Redevelopment Agreement as required under the Redevelopment Agreement by the earlier of (A) the Grand Opening Date, or (B) the date upon which MDLP shall provide a Development Acceleration Notice.
In the case of (c) above, Tenant shall cooperate with Landlord to effect the Grand Opening Date as set forth in such notice, and Tenant shall delay opening of the Premises until the Grand Opening Date, if required by such notice.

Tenant shall occupy the Premises upon commencement of the Term and thereafter will continuously use the Premises for the Permitted Use and for no other purpose whatsoever; provided that, if the Premises are Ready for Occupancy prior to the Grand Opening Date, Landlord may require Tenant to defer its opening for business until the Grand Opening Date, in which event Tenant shall not be required to pay any Rental until it is permitted to open for business.
If Tenant does not supply Landlord with such documentation by such date, Landlord may terminate this Lease by giving Tenant notice of such termination no later than the latter to occur of (i) commencement of Tenant's construction within the Premises or (ii) thirty (30) days before the Grand Opening Date.
Landlord reserves the right to terminate this Lease unless Tenant, no later than one hundred twenty (120) days before the Grand Opening Date, supplies Landlord with documentation reasonably satisfactory to Landlord evidencing Tenant's financial ability to complete the construction of and the improvements to the Premises in accordance with the provisions of this Lease.
In the case of (c) above, Tenant shall cooperate with Landlord to effect the Grand Opening Date as set forth in such notice, and Tenant shall delay opening of the Premises until the Grand Opening Date, if required by such notice or if subsequently extended by Landlord upon written notice to Tenant.
Section 10.4.1.1(c) of the Original Agreement shall be amended by deleting “January 1, 2008” in the second sentence thereof and substituting “the earlier of the one year anniversary of the Grand Opening Date or four years from the Development Rights Fee Funding Date” in lieu thereof.
