The total cost is payable at the time of registration. For full year courses, the following withdrawal & refund policy applies: o Withdrawal requests received within 2 weeks of registration and prior to June 1 will receive a 100% refund less a $50 administrative fee. o Withdrawal requests received prior to June 1 and after 2 weeks from the date of registration will receive a 75% refund. o Withdrawal requests received after May 31 and before July 1 will receive a 50% refund. o Withdrawal requests received after June 30 will not receive a refund of any amount. For summer school enrollments, the following withdrawal & refund policy applies: o Withdrawal requests received at least 30 days prior to the start of classes and within 1 week of registration will receive a 75% refund. o Withdrawal requests received at least 30 days prior to the start of classes and at least 1 week after the date of registration will receive a 50% refund. o Withdrawal requests received within 30 days of the start of classes will not receive a refund of any amount.   • SOS Reports means the official reports from the Secretaries of State of each Collateral State, the state where Borrower’s chief executive office is located, the state of Borrower’s formation and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Annual Statement of Compliance As defined in Section 3.13.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • Latest Projections means: (a) on the Closing Date and thereafter until the Agent receives new projections pursuant to Section 7.2(f), the projections of the Borrower’s financial condition, results of operations, and cash flows, for the period commencing on April 1, 2009 and ending on March 31, 2010 and delivered to the Agent prior to the Closing Date; and (b) thereafter, the projections most recently received by the Agent pursuant to Section 7.2(f).

  • Periodic Reports means the Company’s (i) Annual Reports on Form 10-K, (ii) any Quarterly Report to be filed on Form 10-Q and (iii) all other financial reports required to be filed by the Company with the Commission under applicable laws and regulations (including, without limitation, Regulation S-K) for so long as any amounts are outstanding under this Debenture or any Other Debenture; provided that all such Periodic Reports shall include, when filed, all information, financial statements, audit reports (when applicable) and other information required to be included in such Periodic Reports in compliance with all applicable laws and regulations.
