Governance Document definition

Governance Document means, with respect to any Person, (a) the articles of incorporation or organization, certificates of formation and by-laws, the limited partnership agreement, the partnership agreement or the limited liability company agreement, or such other organizational documents of such Person, including those that are required to be registered or kept in the place of incorporation, organization or formation of such Person and that establish the legal personality of such Person and (b) any voting trust, shareholder agreement, voting agreement, pledge agreement, buy-sell agreement, right of first refusal, preemptive right or proxy or other agreement, right, instrument or understanding with respect to any purchase, sale, issuance, transfer, repurchase, redemption or voting of its Equity Securities, or any other similar governing document with respect to such Person.
Governance Document means this public document when adopted by the Steering Committee, as may be amended from time to time in accordance with its terms;
Governance Document means the document to be adopted by the Steering Committee as may be amended from time to time in accordance with its terms;

Examples of Governance Document in a sentence

  • The initial Project Selection and Governance Document shall provide for a selection process to apply in respect of any Operational Performance Standard Charges collected in respect of the 2019/20 financial year and each Year thereafter and Market Performance Standard Charges collected in respect of 1 January 2020 to 31 March 2020 inclusive and each Year thereafter.

  • For the avoidance of doubt this reporting requirement does not change or remove any obligations on the Funding Licensee with respect to reporting that are set out in the Electricity NIC Governance Document.

Governance Document means the documents set out at clause 6.

Related to Governance Document

  • Finance Document means this Agreement, any Fee Letter, any Accession Letter, any Resignation Letter and any other document designated as such by the Agent and the Company.

  • Scope Document means the document (if any) that is provided with and becomes part of the Order Form and which defines sometimes in conjunction with a Service Description (as applicable) the Services to be provided.

  • TE Document means Tender Enquiry Document

  • T E Document means Tender Enquiry Document

  • Principal Finance Documents means the Credit Agreement, the Senior Secured Note Indenture, the Intercreditor Arrangements and any Additional Agreement.

  • Governance Agreement has the meaning set forth in the Recitals.

  • Conveyance Documents has the meaning set forth in Section 11.2(a).

  • Scheme Document means this document including its Annexures, any addenda or corrigendum to this Scheme Document and/ or any other document issued pursuant hereto.

  • Financing Document means any credit agreement, guarantee, financing or security agreement or other agreements or instruments governing indebtedness of the Company or any of the Company Subsidiaries.

  • Programme Document means the formal document (in standard format) attached to this Agreement, which is concluded by the Parties and reflects expected results, detailed activities, timeframes and budget, and defines what is to be accomplished. The Programme Document is the basis for requisitioning, committing and disbursing funds to carry out planned activities and for their monitoring and reporting.

  • Credit Document means any of this Agreement, the Revolving Loan Notes, if any, the Collateral Documents, the Asset Purchase Agreement, any Receivables Purchase Agreement, the Servicing Agreement, the Backup Servicing Agreement, the Custodial Agreement and all other documents, instruments or agreements executed and delivered by Company or Holdings for the benefit of any Agent or any Lender in connection herewith.

  • Loan Document means this Agreement, each Note, each Letter of Credit Document, the Guaranty and each other document or instrument now or hereafter executed and delivered by a Loan Party in connection with, pursuant to or relating to this Agreement.

  • ballot document means a ballot paper, internet voting record, telephone voting record or text voting record.

  • Service documentation means all records and information on one or more documents, including documents that may be created or maintained in electronic software programs, created and maintained contemporaneously with the delivery of services, and kept in a manner as to fully disclose the nature and extent of services delivered that shall include the items delineated in paragraph (E) of this rule to validate payment for medicaid services.

  • Organic Document means, relative to any Person, its certificate of incorporation, by-laws, certificate of partnership, partnership agreement, certificate of formation, limited liability agreement, operating agreement and all shareholder agreements, voting trusts and similar arrangements applicable to any of such Person’s Capital Stock.

  • Governing Document means any charter, articles, bylaws, certificate, statement, statutes or similar document adopted, filed or registered in connection with the creation, formation or organization of an entity, and any Contract among all equityholders, partners or members of an entity.

  • Senior Finance Documents means the Senior Facilities Agreement and such other documents identified as “Senior Finance Documents” pursuant to the Senior Facilities Agreement.

  • Credit Support Document means any agreement or instrument that is specified as such in this Agreement.

  • relevant document means, with respect to a Receivable:

  • Secured Credit Document means (i) the Credit Agreement and each other Loan Document (as defined in the Credit Agreement), (ii) each Initial Additional First Lien Document and (iii) each Additional First Lien Document.

  • Governance means rules, processes and be- havior that affect the way in which powers are exercised. The term “territorial governance” may be used to denominate the political concern to coordinate policies, programs and projects in re- lation to a specific territorial development.
