Global Unit Certificate definition

Global Unit Certificate means a Unit Certificate that evidences all or part of the Normal Units or a Unit Certificate that evidences all or a part of the Stripped Units and is registered in the name of the Depositary or a nominee thereof.

Global Unit Certificate means the global unit certificate in registered form that will represent the Units in issue in each Fund that will be cleared through Euroclear;

Global Unit Certificate means a global Unit Certificate in registered form.

• Beneficial interests in a Global Unit Certificate will be represented only through the Book-Entry System.

• No purchaser of Trust Units represented by a Global Unit Certificate will be entitled to a certificate or other instrument from the Trust or the Depository evidencing that purchaser’s ownership thereof except in the circumstances where the Depository resigns or is removed from its responsibilities as depository and the Trustee is unable or does not wish to locate a qualified successor.

• The aggregate number of Units issued may from time to time be increased, if required by any legal or regulatory requirem ents, by adjustments made on the records of the Liquidating Trust and a corresponding increase in the number of Units evidenced by such Global Unit Certificate (as shall be specified in the schedule included as part of the Global Unit Certificate or the issuance of further Global Unit Certificates in respect of such additional Units).

• The Global Unit Certificate shall bear such legend as may be required by DTC.

• At the option of the Trustees, Trust Units may be issued in the form of the Unit Certificate provided, however, that a global Unit Certificate (a “Global Unit Certificate”) may be issued in the name of and deposited by the Transfer Agent with, or on behalf of, CDS or a successor (collectively, the “Depository”), as custodian of such Global Unit Certificate and registered by the Transfer Agent in the name of the Depository or its nominee.
