Global Registered Covered Bond definition

Global Registered Covered Bond means a Global Registered Covered Bond substantially in the form set out in Schedule 10 (Form of Global Registered Covered Bond) of the Programme Manual;

  • The Replacement Agent shall cancel each mutilated or defaced Temporary Global Covered Bond, Permanent Global Covered Bond, Definitive Covered Bond, Coupon, Global Registered Covered Bond or Individual Covered Bond Certificate surrendered to it and in respect of which a replacement has been delivered.

  • Each Master Temporary Global Covered Bond, Master Permanent Global Covered Bond and Master Global Registered Covered Bond, if any, will be signed manually by or on behalf of the Issuer.

  • In the case of an NGCB Temporary Global Covered Bond or an NGCB Permanent Global Covered Bond, or a Global Registered Covered Bond to be held under the NSS which has been destroyed by the Common Safekeeper, the Replacement Agent shall furnish the Issuer with a copy of the confirmation of destruction received by it from the Common Safekeeper.

  • Notwithstanding Condition 12 (Notices), so long as this Global Registered Covered Bond is held on behalf of Euroclear, Clearstream, Luxembourg or any other clearing system (an "Alternative Clearing System"), notices to Holders of Covered Bonds represented by this Global Registered Covered Bond may be given by delivery of the relevant notice to Euroclear, Clearstream, Luxembourg or (as the case may be) such Alternative Clearing System.

  • Headings and sub- headings are for ease of reference only and shall not affect the construction of this Global Registered Covered Bond.

  • This Global Registered Covered Bond shall not be valid for any purpose until it has been effectuated for or on behalf of the entity appointed as common safekeeper by Euroclear or Clearstream, Luxembourg.

  • Entitlements are determined by the Register and only the Holder is entitled to payment in respect of this Global Registered Covered Bond.

  • In the case of any Covered Bonds which are Exempt Covered Bonds, any reference in this Global Registered Covered Bond to the "Final Terms" shall be deemed to be a reference to the Pricing Supplement prepared in relation to such Covered Bonds.

  • Global Registered Certificate means a global certificate representing ETP Securities in registered form.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • Global Registered Receipts means a global registered Receipt registered in the name of a nominee of DTC.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Registered Nurse (RN) means an individual licensed pursuant to Iowa Code chapter 152.

  • Registered Certificate Any Certificate that has been the subject of registration under the Securities Act. As of the Closing Date, the Class A-1, Class A-2, Class A-3, Class A-4, Class A-5, Class A-SB, Class X-A, Class X-B, Class A-S, Class B, Class C and Class PEX Certificates constitute Registered Certificates.

  • Registered Clubs Act means the Registered Clubs Act 1976 and any regulation made under the Registered Clubs Act 1976. Any reference to a provision of the Registered Clubs Act includes a reference to the same or similar provision in any legislation replacing, amending or modifying the Registered Clubs Act however that provision may be amended in that legislation.

  • Rule 144A Global Security has the meaning specified in Section 2.1(a) of Appendix A.

  • Registered nurse means a person who has been issued a certificate of registration as a registered nurse pursuant to the Health Professions Act and Regulations, and who holds an annual certificate.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • Global Bond means a 2013 Bond in registered global form without interest coupons.

  • Registered Certificates shall have the meaning specified in Section 6.01.

  • Global Capital Security means a Capital Securities Certificate evidencing ownership of Book-Entry Capital Securities.

  • Rule 144A Global Covered Bond means a Registered Global Covered Bond representing Covered Bonds sold in the United States to QIBs in reliance on Rule 144A;

  • Registered Notes has the meaning specified in Section 2.1.

  • Registered Loan has the meaning set forth in Section 13.1(h) of the Agreement.

  • Capital Security Beneficial Owner means, with respect to a Book Entry Interest, a Person who is the beneficial owner of such Book Entry Interest, as reflected on the books of the Clearing Agency, or on the books of a Person maintaining an account with such Clearing Agency (directly as a Clearing Agency Participant or as an indirect participant, in each case in accordance with the rules of such Clearing Agency).

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Regulation S Global Securities Appendix A

  • Restricted Global Security As defined in Section 3.01(c).

  • Registered Fund means an investment company registered under the Investment Company Act.

  • Regulation S Global Covered Bond means a Registered Global Covered Bond representing Covered Bonds sold outside the United States in reliance on Regulation S;

  • registered valuer means a person registered as such in accordance with the Companies Act, 2013 (18 of 2013) and rules made thereunder;
