Global Note Certificate definition

Global Note Certificate means a global note certificate representing interests in the Reset Rate Notes offered and sold in reliance on Rule 144A or Regulation S, as applicable.

Global Note Certificate means a certificate evidencing the respective rights and obligations of Holders in respect of the number of Notes specified on such certificate and which is registered in the name of a Clearing Agency or a nominee thereof.

Global Note Certificate means a Restricted Global Note Certificate or an Unrestricted Global Note Certificate;

• The Replacement Agent shall cancel each mutilated or defaced Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Note Certificate or Individual Note Certificate surrendered to it and in respect of which a replacement has been delivered.

• Each Issuer hereby authorises and instructs the Principal Paying Agent to elect an ICSD to be Common Safekeeper for each issue of an NGN Temporary Global Note or an NGN Permanent Global Note or a Global Note Certificate to be held under the NSS in relation to which one of the ICSDs must be Common Safekeeper.

• Each replacement Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Note Certificate or Individual Note Certificate delivered hereunder shall bear a unique certificate or (as the case may be) serial number.

• In the case of an NGN Temporary Global Note or an NGN Permanent Global Note or a Global Note Certificate to be held under the NSS which has been destroyed by the Common Safekeeper, the Replacement Agent shall furnish the Relevant Issuer and the Guarantor with a copy of the confirmation of destruction received by it from the Common Safekeeper.

• Any Paying Agent which receives a Put Option Notice in respect of Notes represented by a Permanent Global Note or a Global Note Certificate shall make payment of the relevant redemption moneys and interest accrued to the Optional Redemption Date (Put) in accordance with the Conditions, Clause 7 (Payments to Noteholders) and the terms of the Permanent Global Note or Global Note Certificate, as the case may be.

More Definitions of Global Note Certificate

Global Note Certificate means either of them;

Global Note Certificate means a Global Note Certificate substantially in the form set out in Schedule 1 (Form of Global Note Certificate) of this Agency Agreement;

Global Note Certificate means the Global Note Certificates that initially represents the Notes, subject to the addition of accrued interest which are registered in the name of the CDP.

References in these Conditions to any interest in a Global Note Certificate will be deemed to refer to an interest in the Notes represented by such Global Note Certificate.

Global Note Certificate means the Global Note Certificate representing the Notes to be issued pursuant to Clause 3.1 (Global Note Certificate), in or substantially in the form set out in Schedule 1;

Global Note Certificate means a permanent global note certificate in fully registered form without interest coupons which represents Notes of a Class and which is issued pursuant to the Note Trust Deed, as amended from time to time in accordance with the provisions hereof and any replacement therefor. References in these Conditions to any interest in a "Global Note Certificate" will be deemed to refer to an interest in the Notes represented by such Global Note Certificate.

Global Note Certificate means, in relation to any Series, any Unrestricted Global Note Certificate or Restricted Global Note Certificate or International Global Note Certificate in or substantially in the form set out in Part A, Part B and Part C (respectively) of Schedule 3 issued pursuant to Clause 4.2 (Global Note Certificates);
