Global Capital Security definition

Global Capital Security means a Capital Securities Certificate evidencing ownership of Book-Entry Capital Securities.

Global Capital Security means a Capital Security, the ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 5.4.

Global Capital Security has the meaning set forth in Section 7.3(a).

Examples of Global Capital Security in a sentence

• No person other than the holder of such Global Capital Security shall have any claim against the Issuer in respect of any payments due on that Global Capital Security.

• Payments of principal and interest (if any) in respect of Capital Securities represented by a Global Capital Security will (subject as provided below) be made in the manner specified above in relation to definitive Capital Securities and otherwise in the manner specified in the relevant Global Capital Security, where applicable, against presentation or surrender, as the case may be, of such Global Capital Security at the Specified Office of any Paying Agent outside the United States.

• Whilst any of the Capital Securities are represented by a Global Capital Security, such notice may be given by any Holder to the Agent via the Securities Settlement System in such manner as the Agent and the Securities Settlement System may approve for this purpose.

• Each of the persons shown in the records of relevant Securities Settlement System as the beneficial holder of a particular nominal amount of Capital Securities represented by such Global Capital Security must look solely to the relevant Securities Settlement System, for his share of each payment so made by the Issuer to, or to the order of, the holder of such Global Capital Security.

• Any reference herein to "Holders" shall mean the holders of the Capital Securities, and shall, in relation to any Capital Securities represented by a Global Capital Security, be construed as provided below.

More Definitions of Global Capital Security

Global Capital Security means a global Certificate evidencing ownership of Book-Entry Capital Securities.

Global Capital Security means those Capital Securities evidenced by the Global Capital Securities Certificate.

Global Capital Security means a global certificate representing Capital Securities deposited with, or on behalf of, DTC, or a nominee of DTC, in each case for credit to an account of a participant in DTC.

Global Capital Security means the Capital Security Certificate ----------------------- issued to the Clearing Agency at Closing.

Global Capital Security means a Capital Security, the ownership and transfers of which shall be made through book-entries by a Clearing Agency as described in Section 5.04.

Global Capital Security in a specified Liquidation Amount not greater than the Liquidation Amount of such Restricted Capital Security to be credited to a specified Clearing Agency Participant's account, and (B) a Restricted Securities Certificate duly executed for transfer by such Holder or such Holder's attorney duly authorized in writing, then the Securities Registrar shall cancel such Restricted Capital Security (and issue a new Restricted Capital Security in respect of any untransferred portion thereof) as provided in Section 5.5(a) and increase the aggregate Liquidation Amount of the Global Capital Security by the specified Liquidation Amount as provided in Section 5.4(c).

Global Capital Security means any Capital Securities Certificate in the form of a 144A Global Security, a Regulation S Global Security and, if applicable, any Exchange Capital Security represented in global form and deposited with the Clearing Agency or the Property Trustee as custodian for the Clearing Agency.
