GIP Entities definition

GIP Entities means, collectively, GIP‑A, GIP‑B and GIP‑C.

GIP Entities means GIP-A Holding (CHK), L.P., GIP-B Holding (CHK), L.P. and GIP-C Holding (CHK), L.P.

Examples of GIP Entities in a sentence

  • The sale and issuance of (i) the Sponsor Units to the GIP Entities and Chesapeake Holdings and (ii) the Incentive Distribution Rights and the GP Interest to the General Partner are exempt from the registration requirements of the Securities Act and securities laws of any state having jurisdiction with respect thereto, and none of the Partnership Entities has taken or will take any action that would cause the loss of such exemption.

  • At each Delivery Date, the GIP Entities will own, collectively, 50% of the issued and outstanding limited liability company interests in Midstream Ventures, and Chesapeake Holdings will own 50% of the issued and outstanding limited liability company interests in Midstream Ventures.

  • Each of the GIP Entities has all partnership power and authority necessary to enter into and perform its obligations under the Transaction Documents to which it is a party and to conduct its business as currently conducted or as to be conducted at each Delivery Date, in each case in all material respects as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

Related to GIP Entities

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Partnership Entity means any of the Partnership Entities.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Target Companies means the Target and its Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Group Companies means the Company and its Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Material Group Company means the Issuer or a Subsidiary representing more than 10.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the EBITDA of the Group on a consolidated basis according to the latest Financial Report.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
