German GmbH & Co. KG Guarantor definition

German GmbH & Co. KG Guarantor means any Guarantor incorporated in Germany as a limited partnership (Kommanditgesellschaft) with a limited liability company as sole general partner.
German GmbH & Co. KG Guarantor as defined in Section 8.12(d).
German GmbH & Co. KG Guarantor means a Foreign Guarantor incorporated or formed under the laws of Germany and constituted in the form of a limited partnership with a limited liability company as general partner (GmbH & Co. KG).

  • kg means kilogram.

  • Subco means 1102209 B.C. LTD., a corporation incorporated under the laws of the Province of British Columbia;

  • Indian-owned economic enterprise means any Indian-owned (as determined by the Secretary of the Interior) commercial, industrial, or business activity established or organized for the purpose of profit, provided that Indian ownership constitutes not less than 51 percent of the enterprise.

  • Domestic limited liability company means an entity that is an unincorporated association having one or more members and that is organized under ORS chapter 63.

  • Corporate Guarantor means Navios Maritime Holdings Inc., a company incorporated in the Xxxxxxxx Islands and having its registered office at Trust Company Complex, Ajeltake Road, Ajeltake Island, Majuro, Xxxxxxxx Xxxxxxx, XX00000;

  • subsidiary undertaking means an undertaking controlled by a parent undertaking, including any subsidiary undertaking of an ultimate parent undertaking;

  • Foreign Subsidiary Holding Company means any Domestic Subsidiary that is a direct parent of one or more Foreign Subsidiaries and holds, directly or indirectly, no other assets other than Equity Interests of Foreign Subsidiaries and other de minimis assets related thereto.

  • OpCo has the meaning set forth in the Preamble.

  • Malta means the Island of Malta, the Island of Gozo and the other islands of the Maltese Archipelago, including the territorial waters thereof;

  • HK Company shall have the meaning ascribed to it in the preamble of this Agreement.

  • UK Subsidiary means a Subsidiary organized under the laws of England and Wales.

  • Cayman Companies Act means the Companies Act (As Revised) of the Cayman Islands.
