Funded Developments definition

Funded Developments means the products, services, processes, technologies, materials, software, data, other innovations, and intellectual property resulting from the Project (including modifications, improvements, and further developments to Background Technology).

Funded Developments means products, services, processes, technologies, materials, software, data, other innovations, and intellectual property developed using funds from the Foundation in connection with any Project.

Funded Developments has the meaning provided in the Grant Documents.

Examples of Funded Developments in a sentence

• Awardee will maintain ownership of any and all Background Technology and Funded Developments; provided, however, Award Funds may not be used to limit third party access to Funded Developments or any innovations created with the use of Award Funds.

• Awardee represents that IFT may continue to rely on this information and on any additional information it provides regarding activities, progress, and Funded Developments.

• Adimab further acknowledges that the funding provided by the Foundation to Arsanis for the Funded Project entitles the Foundation to the Foundation Rights and makes the Funded Developments and any Background Technology incorporated into a Funded Development or required to use a Funded Development subject to the Global Access Commitment both during and after the Term, regardless of whether or not Arsanis exercises the Option and notwithstanding the expiration or any termination of this Agreement.

• In the event of (i) a Sale Transaction, or (ii) the sale, exclusive license, or other transfer of the Platform Technology owned or controlled by the Company or the Funded Developments, the Global Access Commitments will survive and be assumed in full by the purchaser, transferee, licensee, or acquirer and the Company will take the necessary actions to effect such assumption.

• For clarity, notwithstanding anything to the contrary in this Letter Agreement, the Foundation’s rights hereunder that exist on the date of the Sale Transaction or sale, exclusive license, or other transfer of the Platform Technology or the Funded Developments will not be terminated by such transaction.

More Definitions of Funded Developments

Funded Developments means the products, services, processes, technologies, materials, software, data, other innovations, and intellectual property resulting from the Project (including modifications, improvements, and further developments to Background Technology). “Background Technology” means any and all products, services, processes, technologies, materials, software, data, or other innovations, and intellectual property created by Awardee or a third party prior to or outside of the Project used as part of the Project.

Funded Developments has the meaning given in Section 3(k)(i).

Funded Developments means the Research Tools and Development Products. For the avoidance of doubt, Funded Developments does not include (i) anything that comprises Platform Technology or (ii) anything developed as part of or in relation to the Company’s research, development or commercialization of a product outside the Target Diseases and CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED BECAUSE IT IS BOTH (I) NOT MATERIAL AND (II) IS THE TYPE THAT THE REGISTRANT TREATS AS PRIVATE OR CONFIDENTIAL. Conditions that is not developed pursuant to a Global Health Program using any funds from the Foundation or a Foundation-Supported Entity; provided that the [***] Candidates are deemed to be Funded Developments.

Funded Developments means the products and product candidates (including the HIV Vaccine Product, TB Vaccine Product, HIV Vaccinal Antibody Product, and Malaria Vaccinal Antibody Product), services, processes, technologies, materials, software, data, other innovations, and intellectual property developed by or on behalf of the Company or its subsidiaries in connection with the HIV Vaccine Program, the TB Vaccine Program, the Vaccinal Antibody Development Program, or any other Global Health Project (including modifications, improvements, and further developments to Platform Technology). For clarity, product candidates will include candidates developed as part of a Global Health Project, which have been discontinued by the Company. Funded Developments includes the CMV Vaccine (and any and all data, documentation, methods, processes, test results, or other know how that is owned or controlled by the Company or any of its Affiliates (including through a license) and that are reasonably necessary or useful for the research, development, or operation of the CMV Vaccine, including materials, know-how and intellectual property owned or controlled by the Company or any of its Affiliates, whether existing at closing or later developed, owned or controlled by the Company or any of its Affiliates) to the extent funded by the Foundation or a Foundation-supported Entity with funds provided by the Foundation.

Funded Developments means the Intellectual Property made, conceived or first reduced to practice by or on behalf of Exscientia or the Company in connection with the Antiviral Program. For clarity (a) Antiviral Products and (b) the portions of the Platform Technology made, conceived or first reduced to practice in connection with the Antiviral Program is included within Funded Developments.

Funded Developments means the products (including the HIV Product and TB Product), services, processes, technologies, materials, software, data, other innovations, and intellectual property developed by or on behalf of the Company in connection with the HIV Program, the TB Program or any other Global Health Project. For clarity the Platform Technology is included within Funded Developments.

Funded Developments means the products, services, processes, technologies, materials, software, data, other innovations, and intellectual property resulting from the Project (including modifications, improvements, and further developments to Background Technology). “Background Technology” means any and all products, services, processes, technologies, materials, software, data, or other innovations, and intellectual property created by You or a third party prior to or outside of the Project used as part of the Project. “Global Access” means: (a) the knowledge and information gained from the Project will be promptly and broadly disseminated; and (b) the Funded Developments will be made available and accessible at an affordable price (i) to people most in need within developing countries, or (ii) in support of the U.S. educational system and public libraries, as applicable to the Project. GLOBAL ACCESS MILESTONES In order to further define Your Global Access commitments, You agree to the terms and conditions set out in the Global Access Commitments Agreement set forth in Attachment D. In the event of any conflict between this Global Access section of this Grant Agreement and the Global Access Commitments Agreement, the Global Access Commitments Agreement shall control. You may not materially change the plans and strategies contained in any Global Access Commitments Agreement without the Foundation’s prior written approval. Upon request of the Foundation, You will provide the Foundation with progress updates evidencing your progress to attain Your the Global Access Commitments.
