Fundamental Representation definition

Fundamental Representation has the meaning set forth in Section 9.1.
Fundamental Representation has the meaning set forth in Section 7.5.
Fundamental Representation means the representations and warranties set forth in Sections 3.1(a), 3.1(c), 3.2(a), 3.2(b), 3.2(c), 3.2(d), 3.2(dd), 3.3(a), and 3.3(b).

Examples of Fundamental Representation in a sentence

  • With respect to the Vendor Fundamental Representation in Section 3.1(3), as of the Closing Date, such representation and warranty is true and correct in all respects.

  • With respect to the Vendor Fundamental Representations (except for the Vendor Fundamental Representation in Section 3.1(3)), as of the Closing Date, such representations and warranties are true and correct in all material respects.

  • Notwithstanding the foregoing, (w) Buyer’s obligation pursuant to Seller’s Security in Section 7.2, (x) each Party’s obligation pursuant to Sections 8.2(a)(i) and 8.3(a)(i), respectively, with respect to breach of any Fundamental Representation, (y) Seller’s (i) obligation pursuant to Section 8.2(a)(iii) and (ii) the covenant set forth in Section 5.10, and (z) each Party’s obligations pursuant to Section 11.2, (collectively, “(w)-(z)”), shall not be subject to the Basket or the Maximum Indemnity Amount.

  • The provisions in this Section 13.4(a) shall not limit SM’s liability for breaches of a Fundamental Representation or for breaches of Section 3.15.


More Definitions of Fundamental Representation

Fundamental Representation means any representation or warranty set forth in Sections 3.1 (Organization; Authority; No Violation of Other Instruments.), 3.2 (Capitalization; Subsidiaries), 3.3 (Ownership and Delivery of Assets), 3.5 (Compliance with Laws), 3.13 (Intellectual Property), 3.17 (Environmental Matters), 3.20 (Accredited Investor), and 3.28 (Brokers and Finders).
Fundamental Representation means the representations and warranties set forth in (a) with respect to Seller, Section 2.1, Section 2.2, Section 2.3, Section 2.4(a), Section 2.20 and Section 2.23 and (b) with respect to Purchaser, Section 3.1, Section 3.2, Section 3.3(a), Section 3.5 and Section 3.6.
Fundamental Representation means the representations provided in Section 8.1(b), Section 8.1(h), Section 8.1(k) and Section 8.1(o).
Fundamental Representation means (i) in the case of Seller, the representations and warranties contained in Sections 4.1, 4.3, 4.5(a), 4.6 and 4.13 and (ii) in the case of Buyer, the representations and warranties contained in Sections 5.1, 5.2 and 5.4(a).
