Fully Loaded Costs definition

Fully Loaded Costs means all direct expenses and, with respect to time spent on a project by employees, an hourly rate which equals salary plus benefits plus fifty percent (50%) allocated overhead.
Fully Loaded Costs means all internal and external costs incurred by Berlex in the performance of the services described in Section 6.09(a) as determined by United States Generally Accepted Accounting Principles, applied on a consistent basis, which shall include without limitation the following costs: carrying costs of inventories, direct and indirect labor costs, material costs, and direct and indirect overhead. Fully Loaded Costs of Berlex also shall include all set up costs necessary for Berlex to perform the functions described in Section 6.09(a), regardless of depreciation schedules which may have been established to absorb such costs over a period of time longer than the period during which Berlex will be performing the described services for Alliance.
Fully Loaded Costs means (a) all documented, direct out of pocket costs and expenses that Vivint reasonably expects to incur under contracts with any Person existing within thirty (30) days of each Initial Purchase Order Anniversary (or that are certain to exist as of the Initial Purchase Order Anniversary) to procure a Product meeting the requirements of the Agreement for delivery to Vivint Solar as of the applicable Initial Purchase Order Anniversary, including (i) costs of cellular service allocable to such Product, (ii) any licensing fees allocable to such Product, (iii) hardware costs of such Product paid to 2GIG or another manufacturer of such Product, and (iv) any software costs allocable to such Product; plus (b) the net present value of the costs and expenses that Vivint reasonably estimates it will incur to perform the Services for the Services Period as allocable to a Product. “Fully Loaded Costs” shall not include (and the following shall not be chargeable to Vivint Solar in the Unit Price of Products) any of Vivint’s internal costs and expenses associated with performance of this Agreement and that may otherwise be customarily recouped through the price of goods sold, including, without limitation: (i) hourly rates that Vivint would customarily charge to other Persons (including Affiliates) for an employee’s time and labor; and (ii) overhead costs, and all other direct and indirect costs (except for those payable under clauses (a) or (b) above), including, without limitation: (A) property taxes and payroll taxes and insurance; (B) worker’s compensation insurance required by applicable Law; (C) costs of maintaining insurance policies; (D) vacation and sick leave; (E) home and branch office rents; (F) light, heat, water, local telephone and other utilities for home and branch offices; (G) procurement or use of office furniture and equipment (e.g., computers, software, copy machines, and other equipment) for home and branch offices; (H) all accounting and legal services; (I) salaries and wages of those that may be billed to a project but who are not performing work or services, including salaries and wages for executive officers, members of the board of directors, and costs of general management departments, including sales, public relations, human resources, guards, receptionists, mail room, and janitorial and maintenance employees; and (J) to the extent not covered in the foregoing, all employee benefit plans.

  • Each Party shall be responsible for all of its own expenses of participating in any Committee excepting that an Intrexon employee or agent serving on a Committee shall not prevent Intrexon from recouping the Fully Loaded Costs otherwise derived from the labor of that employee or agent in the course of providing manufacturing or support services as set forth in Sections 4.6 and 4.7 below.

  • Such review may cover the records for sales made in any calendar year with respect to an audit of Soligenix, and for Fully Loaded Costs with respect to an audit of Intrexon, in each case ending not more than three (3) years prior to the date of such request.


More Definitions of Fully Loaded Costs

Fully Loaded Costs means (a) direct costs (for example, cost of obtaining required hardware and software; cost of employees including, but, not limited to, benefits, salary, recruiting; cost of consultants; travel, meetings, training; any applicable taxes; and other direct cost categories included as permitted under this Agreement), and (b) administrative overhead of ***** % based on (a) direct costs. It is the intention of the Parties that the Fully-Loaded Costs and the Self-Sufficiency Costs include similar cost categories, regardless of whether the same categories are specifically referenced in Exhibits B or C or in the definition of Fully-Loaded Costs. For illustration purposes, attached hereto and incorporated herein as Exhibit C, is a list of categories comprising Nasdaq’s Fully Loaded Costs for its ISS and MDS Systems.
Fully Loaded Costs means (i) the Bandwidth Costs, the Hardware Costs, and the Hosting Costs, (ii) all internal personnel costs and direct overhead reasonably incurred by Napster in performing its obligations under Sections 3 and 4 hereof calculated in accordance with US GAAP rules applicable to transactions between members of a consolidated group in the reasonable discretion of Napster, (iii) portion of patent royalties and third party software costs required for operation of the Customized Service (iv) such other out-of-pocket costs reasonably incurred by Napster in performing its obligations under Sections 3 and 4 hereunder, all as fully documented by Napster to Company, [*], such additional percentage amount being equal to the minimum amount that may be reasonably required for tax and accounting purposes.
Fully Loaded Costs shall have the meaning assigned to such term in the Financial Appendix.
Fully Loaded Costs means an amount of one hundred fifty percent (150%) of the salary of each full-time employee, on an hourly basis, who provides the applicable Transition Service or Transition Assistance. In the event that the Default Fee is charged for any Omitted Service, PROVIDING PARTY shall have the right to terminate such service by providing thirty (30) days written notice of such termination.

Fully Loaded Costs with respect to the activities of a Party, shall mean such Party's direct out-of-pocket costs and Allocable Overhead incurred due directly to such activities.
Fully Loaded Costs is defined in Section 2.2.3(c)(iv). “FWS” means the U.S. Fish and Wildlife Service.
