Fulfillment Centers definition

Fulfillment Centers means each storage location where inventory is stored and (a) that is located within Korea; (b) where the whole premises is either (i) owned by the Parent or any of its Restricted Subsidiaries or (ii) leased by the Parent or any of its Restricted Subsidiaries; (c) in respect of which the relevant lessor (if any) has waived any lien it may have over the inventory stored in the relevant Fulfillment Center; and (d) that is identified in Schedule 1.2 to the Disclosure Letter, as such Schedule may be amended by the Borrower (with the consent of the Administrative Agent) from time to time.
Fulfillment Centers means entities that stores or warehouses S.W. Basics Product, receives customer S.W. Basics Product orders, packages S.W. Basics Product in response to the customer orders, and ships the ordered S.W. Basics Product to the end customer.
Fulfillment Centers means Seller’s fulfillment centers specified in Exhibit A (or as otherwise agreed to by the parties in writing).

  • In addition, upon termination, Seller will release (pursuant to final Release(s) issued by Imperva, and subject to the delivery obligations set forth in Section 8 and Section 20) all Integrated Products that were delivered to the Fulfillment Centers on or before the termination date.
