Franchised Units definition

Franchised Units means all Hungry Howie’s Units that were open and reporting sales to us for the entire fiscal year, excluding (1) 203 Florida units, (2) 32 Affiliated Units, (3) 21 Hungry Howie’s Units which opened or closed during the entire fiscal year, (4) 4 “legacy units” which are not obligated to and do not report sales to us, and (5) 6 units that were closed for more than ten consecutive days during the entire fiscal year due to a force majeure event (e.g. COVID-19). The Franchised Units are in 20 states. These Franchised Units have reasonably similar operations as those being offered for sale.
Franchised Units means all Hungry Howie’s Units that were open and reporting sales to us for the entire Measuring Period, excluding 203 Florida units, 33 Affiliated Units, 16 units which opened or closed during the Measuring Period, and 4 units which are not obligated to and do not report sales to us. Units located in the State of Florida are excluded because such units are owned by franchisees of H.H. Pizza, Inc., which operates under a license agreement with us. Subject to its license agreement, H.H. Pizza, Inc. deviates from the Hungry Howie’s system in certain respects, including its selection of menu items, standards and specifications, and marketing strategies. Affiliated Units are excluded because they are units owned by either an affiliate or an officer of ours. Units which opened or closed during the Measuring Period were excluded because they were not open for the entire Measuring Period. The Franchised Units are

  • Notwithstanding anything in this Agreement to the contrary, Developer understands and acknowledges that individual development rights to obtain franchises to establish and operate Franchised Units may not be transferred except in connection with a transfer of this Development Agreement, together with all remaining development options due to be developed under this Agreement, in accordance with the conditions set forth herein.

  • Buyer presently operates certain restaurants listed on Exhibit A in which it or an affiliate owns a controlling interest (hereinafter the "Company Units") and licenses others to operate certain restaurants listed on Exhibit A-I (hereinafter the "Franchised Units") under the service marks "La Salsa Fresh Mexican Grill", "La Salsa", and "La Salsa Cantina", The Company Units and the Franchised Units shall include additional locations opened during the term of this Agreement within the Service Area.

  • No Supervisor may have supervisory responsibilities for more than seven (7) Franchised Units.

  • In the event Delivered Cost was overstated or understated by any amount during the last Pricing Period (or portion thereof) of the term of this Agreement, Marriott shall deliver a check to Buyer (for Buyer and the respective franchisees) or Buyer shall deliver a check to Marriott for Buyer's Company Units only, and each respective franchisee shall be responsible to deliver a check to Marriott for its respective number of Franchised Units within ten (10) days after such amount is determined by Marriott.

Franchised Units means each restaurant or other facility operated by a franchisee under a franchise agreement with Borrower as franchisor that (among other things) permits the franchisee to operate such restaurant or other facility, and/or to sell products, under one or more of the Brands.

Related to Franchised Units

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • public units means the state or a political subdivision or instrumentality of the state including a county, school corporation, special district, drainage district, unincorporated town or township, municipality, or municipal corporation or any agency, board, or commission of the state or a political subdivision; any court or public body; an electric power agency; federal and state grant moneys of a quasi-public state entity under Iowa Code section 12C.1, subsection (2e), and this chapter.   • Covered Units means: (i) during the period of the Employee’s employment with the Corporation, each business unit of the Corporation; and (ii) following the Employment Termination Date, each business unit of the Corporation in or for which the Employee was employed or to which the Employee provided services or about which the Employee obtained or had access to Confidential Information, in each case of this clause (ii) at any time within the twenty-four (24)-month period prior to the Employment Termination Date. The Employee acknowledges and agrees that if the Employee is or was employed at a segment level, the Employee is providing or has provided services to and for, and has obtained and has or had access to Confidential Information about, each business unit of such segment; and if the Employee is or was employed at the corporate/headquarters level, the Employee is providing or has provided services to and for, and has obtained and has or had access to Confidential Information about, each business unit of the Corporation.

  • Offered Units shall have the meaning set forth in Section 11.1 hereof.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Partnership Interest means an ownership interest in the Partnership held by either a Limited Partner or the General Partner and includes any and all benefits to which the holder of such a Partnership Interest may be entitled as provided in this Agreement, together with all obligations of such Person to comply with the terms and provisions of this Agreement.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Membership Rights means all of the rights of a Member in the Company, including a Member’s: (a) Interest; (b) right to inspect the Company’s books and records; (c) right to participate in the management of and vote on matters coming before the Company; and (d) unless this Operating Agreement or the Certificate of Formation provide to the contrary, right to act as an agent of the Company.

  • Partnership Assets means all assets, whether tangible or intangible and whether real, personal or mixed (including, without limitation, all partnership capital and interest in other partnerships), at any time owned by any Pledgor or represented by any Partnership Interest.

  • Coop Shares Shares issued by a Cooperative Corporation.
