Founder Investors definition

Founder Investors means (i) the Founders, (ii) any general or limited partnership, corporation or limited liability company having as a general partner, controlling equity holder or managing member (whether directly or indirectly) a Person who is a member of the parties to the Founders Registration Rights Agreement or an Affiliate of any such Person and (iii) any successor or permitted assign or transferee of any of the foregoing; provided, that for the avoidance of doubt, for purposes of this definition neither “Founder Investor” nor any Affiliate thereof shall include any portfolio company of the Founders or any of its Affiliates.

Founder Investors means, collectively, the Founder, Cognisa and Wisemore.

• Subject to applicable Law, the Company may in its sole discretion redeem and cancel the Class B Share for par value at any time after the Founder Investors and their respective Affiliates cease to hold any ReNew India Common Shares.

• The Company may in its sole discretion redeem and cancel the Class B Ordinary Share for par value at any time after the Founder Investors and their respective Affiliates cease to hold any ReNew India Common Shares.

• The Founder Investors hereby agree that upon execution of this Agreement by such Founder Investors, the Founders Registration Rights Agreement shall be automatically terminated and superseded in its entirety by this Agreement.

• This Agreement may not be assigned by the Company without the prior written consent of the SPC Investors, Founder Investors and the Intermex Investors.

• The Class B Ordinary Share shall be issued with voting rights attached to it and the Class B Ordinary Share shall entitle the holder of such share to a number of voting rights from time to time equal to the Equivalent Voting Beneficial Shares held by the Founder Investors (and their Affiliates) as of the relevant time.

Founder Investors means Xxxx Xxxxxxx, Xxxxxx X. Xxxxxxx, Xxxx Xxxxxxxx, Xxxxxx Xxxxxx, Xxx Xxxxxxx, Xxxxxx Xxxxxxx, C. Xxxxxx Xxxxxxx and Xxxxxx Xxxxx.

Founder Investors has the meaning set forth in the recitals; unless the context otherwise requires or as otherwise provided for in this Agreement, that any decision to be made under this Agreement by the Founder Investors shall be made by holders of a majority of all Founder Investor Registrable Securities

Founder Investors means DMI Holdco, Inc., a Delaware corporation, DM Individual Aggregator, LLC, a Delaware limited liability company, and DM Trust Aggregator, LLC, a Delaware limited liability company collectively (along with their Permitted Transferees).
