Forward Commitment definition

Forward Commitment has the meaning set forth in Section 11.8(d) of these Bylaws.

Forward Commitment when issued" and "delayed delivery" contracts for securities, issued, guaranteed or sponsored by any governments, political subdivisions or governmental authorities, agencies or instrumentalities, by any individuals, firms, companies, corporations, syndicates, associations or trusts, or by any other organizations or entities whatsoever, irrespective of their forms or the names by which they may be described, whether or not they be organized and operated for profit, and whether they be domestic or foreign with respect to the State of Delaware or the United States of America); and

Forward Commitment means Xxxxxxx Mac’s commitment to the Servicer, dated , 2009, and accepted by the Servicer, pursuant to which Xxxxxxx Mac has agreed, upon satisfaction of the terms and conditions set forth in the Forward Commitment, to provide credit enhancement and liquidity support for the Bonds effective as of the Conversion Date.

Examples of Forward Commitment in a sentence

• Notwithstanding any other provision of this Indenture to the contrary, if the Conversion Notice is issued on or before the Forward Commitment Maturity Date, Conversion shall occur on the Conversion Date specified in the Conversion Notice.

• If the Notice of Conversion is issued prior to the Forward Commitment Maturity Date, the Bond Mortgage Loan will convert from the Construction Phase to the Permanent Phase.

• The first Advance must be rate locked and disbursed within 30 days after issuance of the Forward Commitment Confirmation.
