Former Business Employees definition

Former Business Employees means all individuals previously employed by the Sellers whose duties related primarily to the Business immediately prior to their termination of employment from the Sellers.
Former Business Employees means former employees of the Spinco Group and former employees of the GGP Group who were last employed in the Spinco Business, as identifiable on GGP’s payroll and employment records (including, without limitation, individuals listed on Schedule C hereto).
Former Business Employees means (i) all persons who were not employees of any Electrical Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any Electrical Company or any Asset Seller with respect to the Business or predecessors thereof and whose service with any Electrical Company or any Asset Seller and their respective affiliates or predecessors terminated prior to the Closing Date including, without limitation, (A) those who are retired and, (B) with respect to the United States only, those paid on a salaried basis who are Long Term Disabled and (ii) the Refusing Employees; but excluding, with respect to the United States, those persons who are entitled as of the Effective Benefits Time to severance and termination pay benefits under the U.S. Business Severance Policies and Practices with respect to whom such severance and termination pay benefits are reflected on the Closing Balance Sheet.

  • With respect to the United States, Purchaser shall, or shall cause a U.S. Electrical Company to, provide, taking into account and not in limitation of the obligations of Purchaser under Sections 6.6(c)(v), 6.6(e) and 6.6(f), for the U.S. Hourly Transitioned Employees and the U.S. Hourly Former Business Employees, employee benefits under plans, programs and arrangements pursuant to the collective bargaining agreement between ITT Automotive Electrical Systems, Inc.

  • Seller shall cause the Trustee of the VIP to transfer to the Trustee of a defined contribution plan designated by the Purchaser (the "PURCHASER'S DC PLAN") an amount equal to the aggregate account balances of the Business Employees and Former Business Employees participating in the VIP, including any loan obligation.

  • Nothing in this Article VI or elsewhere in this Agreement shall be deemed to (a) make any present or future Business Employees or Former Business Employees third-party beneficiaries of this Agreement, (b) confer on any Business Employee any right to specific compensation or benefits or any right to continued employment, or (c) prevent the Purchaser from terminating or modifying any benefit plan that the Purchaser may establish or maintain.

Former Business Employees means Business Employees existing immediately prior to the Closing.
Former Business Employees means all persons who were not employees of any FHS Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any FHS Company or any Asset Seller with respect to the Business or predecessors thereof, and whose service with any FHS Company or any Asset Seller and their respective Affiliates or predecessors terminated prior to the Closing Date including, without limitation, those who are retired.
Former Business Employees means each former employee of Dow who as of immediately prior to such former employee’s termination of employment with Dow would have been a Business Employee according to the Identification Criteria;
Former Business Employees means (i) all persons who were not employees of any Brake Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any Brake Company or any Asset Seller with respect to the Business or predecessors thereof and whose service with any Brake Company or any Asset Seller and their respective affiliates or predecessors terminated prior to the Closing Date including, without limitation, (A) those who are retired and, (B) with respect to the United States only, (x) those paid on a salaried basis who are Long Term Disabled and (y) those on an unauthorized leave of absence and (ii) the Refusing Employees and those Business Employees employed by any Asset Seller with respect to the Business who do not accept employment as offered by Purchaser in accordance with Section 6.6(b)(i); but excluding, with respect to the United States, those persons who are entitled as of the Effective Benefits Time to severance and termination pay benefits under the U.S. Business Severance Policies and Practices and with respect to whom such severance and termination pay benefits are reflected on the Closing Balance Sheet.
Former Business Employees has the meaning set forth in Section 4.15(e).
Former Business Employees. With respect to all Business Employees who commence a leave of absence prior to December 31, 2010, Spinco shall, or shall cause a member of the Spinco Group to, provide the benefits mandated by the Family and Medical Leave Act of 1993, as amended (the “FMLA”) with respect to such leave of absence, without regard to whether Spinco or any member of the Spinco Group is subject to the FMLA.
Former Business Employees means all former employees of Tribune or any of its Subsidiaries who performed services in connection with the Business but excluding any persons who were employed by Tribune or one of Tribune’s Subsidiaries that is not a Newsday Entity who provided the services described on Schedule 2.13(g).
