Foreground Technology definition

Foreground Technology means the inventions (not necessarily patentable), patent(s), including any improvements, continuation, divisional applications derived from such patent(s), trade secrets, know-how, software, designs, written works, samples, biological materials, and technical information (confidential or not) relating to novel molecules resulting from the combination of the NRC Technology and the Licensee Technology. Such Foreground Technology is proprietary to NRC.
Foreground Technology means the Technology which has been or will be developed solely by either Party or jointly by the Parties hereto arising as a result of and directly in the course of the Technical Cooperation Project.
Foreground Technology means Technology, including any Recipes, conceived after the Effective Date by one or more employees, agents or contractors of any one of the Parties, or jointly by at least one employee, agent or contractor of one Party with at least one employee, agent or contractor of at least one other Party.

Foreground Technology means (a) any and all Know-How discovered, developed, invented or created solely by a Party or its Affiliates or Third Parties acting on its or their behalf, or jointly by both Parties or their respective Affiliates or Third Parties acting on their behalf, in each case, in the performance of activities under this Agreement (the “Foreground Know-How”) and (b) any and all Patents that Cover any such Know-How described in clause (a) (the “Foreground Patents”).

Foreground Technology means all drawings, data, know-how, trade secrets, confidential information, inventions, software and other technical information or technology developed within the scope of the cooperation between the Parties under this Agreement, during its term, by Iteris, Valeo or both Parties jointly, and any intellectual property rights to such information or technology including, but not limited to patents, copyrights, data base rights and trade secret rights. Foreground Technology shall not include any Background Technology.
Foreground Technology means any and all Technology first conceived, developed or reduced to tangible form or practice under this Agreement.
