Force MajeureEvent definition

Force MajeureEvent means any act or event that prevents the affected Party from performing its obligation in accordance with the Agreement, if such act or event is beyond the reasonable control of the affected Party and such Party had been unable to overcome such act or event with the exercise of due diligence (including the expenditure of reasonable sums). Subject to the foregoing conditions, "Force Majeure Event" shall include without limitation the following acts or events: (i) natural phenomena, such as storms, hurricanes, floods, lightning, volcanic eruptions and earthquakes; (ii) explosions or fires arising from lighting or other causes unrelated to the acts or omissions of the Party seeking to be excused from performance; (iii) acts of war or public disorders, civil disturbances, riots, insurrection, sabotage, epidemic, terrorist acts or rebellion. A Force Majeure Event shall not be based on the economichardship of either Party. In case of any damage because of force majeure event, the System shall be repaired / commissioned at its own cost by the Power Producer.
Force MajeureEvent means any event that is beyond the reasonable control of the affected Company or Interconnecting Customer; and that the affected Company or Interconnecting Customer is unable to prevent or provide against by exercising commercially reasonable efforts, including the following events or circumstances, but only to the extent they satisfy the preceding requirements: acts of war or terrorism, public disorder, insurrection, or rebellion; floods, hurricanes, earthquakes, lightning, storms, and other natural calamities; explosions or fire; strikes, work stoppages, or labor disputes; embargoes; and sabotage. Force MajeureEvent means an event or circumstance beyond a party's reasonable control.warranty or quality; as set out in the Order or set out in clause 5.1;5.2.3 the Supplier is given a reasonable opportunity of examining such Goods; and

Examples of Force MajeureEvent in a sentence

  • If the School Nutrition Program, in its reasonable discretion, determines that the Force MajeureEvent is likely to delay Contractor’s performance for more than thirty (30) days, the School Nutrition Program reserves the right to cancel the agreement between the parties.

  • In the event that either party is delayed in the performance of any act or obligation pursuant to or required by the Agreement by reason of a Force Majeure Event, the time for required completion of such act or obligation shall be extended by the number of days equal to the total numbers of days, if any, that such party is actually delayed by such Force MajeureEvent.

  • We will resume Our obligations under the Policy after the Force MajeureEvent ceases to exist.

  • If the Plaintiffs do not accept Ohio Edison’s claim of Force Majeure, or if the Parties cannot agree on the length of the delay actually caused by the Force MajeureEvent, the matter shall be resolved in accordance with Section XVI (Dispute Resolution) of this Consent Decree.

  • If a party is prevented, hindered or delayed from performing its obligations under these General Terms by a Force MajeureEvent, then as long as that situation continues, that party will be excused from performance of the obligation to the extent it is so prevented, hindered or delayed, and the time for performance of the obligation will be extended accordingly.

  • Subject to Clauses 7.2 and 7.3, anysuch delay or failure shall suspend the Agreement until the Force MajeureEvent ceasesandtheaffectedInitialServiceTerm(s)shall be extended by the length of the suspension.

  • Unless the State terminates this Contract pursuant to the preceding sentence, any date specifically designated for Contractor’s performance under this Contract will automatically be extended for a period up to the duration of the Force MajeureEvent.

  • The Municipality shall have the burden of proving by a preponderance of the evidence that an event qualifies as a Force MajeureEvent pursuant to this Paragraph.

  • Seller shall use all diligent efforts to end the failure or delay of its performance, ensure that the effects of any Force MajeureEvent are minimized and resume performance under the Order.

  • Outfront Media will be excused, however, for any delays in beginning or completing installation that are caused by a Force MajeureEvent, as defined in Section 9(d)(1).

Related to Force MajeureEvent

  • Force Majeure Event means an event that arises out of causes beyond a Party’s reasonable control, including, without limitation, war, civil commotion, act of God, strike or other stoppage (whether partial or total) of labor, any law, decree, regulation or order of any government or governmental body (including any court or tribunal) and/or delays or outages caused by an internet service provider or independent (not a Party’s subcontractor) hosting facility.

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Force Majeure Period has the meaning specified in Section 13.1.

  • Force Majeure Notice means a notice to be given by the Affected Party to the other party stating that a Force Majeure Event has occurred;

  • Force Majeure Delay means with respect to the Servicer, any cause or event which is beyond the control and not due to the negligence of the Servicer, which delays, prevents or prohibits such Person’s delivery of the reports required to be delivered or the performance of any other duty or obligation of the Servicer under the Indenture, as the case may be, including, without limitation, computer, electrical and mechanical failures, acts of God or the elements and fire; provided, that no such cause or event shall be deemed to be a Force Majeure Delay unless the Servicer shall have given the Indenture Trustee written notice thereof as soon as practicable after the beginning of such delay.
