Foodservice Business definition

Foodservice Business means the Foodservice business segment as described in Part 1, Item I of Form 10-K filed by Manitowoc with the United States Securities and Exchange Commission for the fiscal year ended December 31, 2011.
Foodservice Business means (i) the businesses and operations conducted by the Foodservice segment of Manitowoc ParentCo and its Affiliates (including, for purposes of this definition, SpinCo and its respective Affiliates) prior to the Effective Date, and (ii) except as otherwise expressly provided in this Agreement, any terminated, divested or discontinued businesses or operations that at the time of such termination, divestiture or discontinuation related to the Foodservice Business (as described in the foregoing clause (i)) as then conducted.
Foodservice Business means (1) the businesses and operations conducted by the Foodservice segment of Manitowoc ParentCo and its affiliates (including, for purposes of this definition, Manitowoc Foodservice and its affiliates) prior to the consummation of the Spin-Off, and (2) except as otherwise expressly provided in the Separation and Distribution Agreement (as defined herein), any terminated, divested or discontinued businesses or operations that at the time of such termination, divestiture or discontinuation related to the Foodservice Business (as described in the foregoing clause (1)) as then conducted.

Foodservice Business means the businesses conducted by the Parent Guarantor and its Affiliates which consist of (i) providing food and facilities management services to businesses and industrial operations, health care facilities, schools and universities, (ii) providing commercial laundry services, (iii) managing the Retained Conference Centers (as defined in the Distribution Agreement) and (iv) business undertaken pursuant to the NANA Joint Ventures (as defined in the Distribution Agreement), each of the foregoing as and to the extent conducted through the Parent Guarantor's Marriott Management Services strategic business unit (referred to in the Distribution Agreement).
Foodservice Business has the meaning set forth in the Separation Agreement.

The term "Competitive Activity” means (a) participating, directly or indirectly, in any Foodservice business as a director, officer, stockholder, employee, salesman, partner, individual proprietor or in any other capacity, (ii) acting as a paid or unpaid consultant, representative or advisor to such business, (iii) participating in such business as an investor (whether through loans, contributions to capital or otherwise) or having a controlling influence over such business or (iv) permitting your name to be used by or in connection with such business; provided, however, that this Section 3(a) shall not preclude (y) the purchase of securities that are listed on a national securities exchange of any entity that is competitive with the Company Group, provided that you may not beneficially own more than five percent (5%) or more of any class of such securities, or (z) providing services to an entity engaged in supplying Foodservice products to the Company Group or an entity that purchases such products from the Company Group (i.e., a non-distributor, non-competitor of the Company Group’s Foodservice Business). For avoidance of doubt, this Agreement does not bar you from serving as a director for a Company Group supplier or customer.
