Subject to Clause 9.2, the Trust shall be responsible for determining whether the information is: (a) exempt from disclosure in accordance with the FOIA and EIR; or (b) to be disclosed in response to a request for information under the FOIA and EIR.
Consistent with HHS’s FOIA procedures, set forth in 45 C.F.R. Part 5, OIG shall make a reasonable effort to notify HOTC prior to any release by OIG of information submitted by HOTC pursuant to its obligations under this CIA and identified upon submission by HOTC as trade secrets, or information that is commercial or financial and privileged or confidential, under the FOIA rules.
Holmusk acknowledges that the Trust may be obliged under the FOIA or EIR to disclose information following consultation with Holmusk in accordance with Clauses 9.2 and 9.3.

Should a FOIA (Freedom of Information Act) request be made for personnel file information, the employer will notify the bargaining unit member with two (2) days of the request and prior to the release of the information.
