Fixed Compensation definition

Fixed Compensation means for each Facility at a BT Building, £80 per consecutive Working Day or part Working Day for a maximum of 42 consecutive Working Days;

Fixed Compensation. The amount ("Fixed Compensation") of $350,000 as follows:
Fixed Compensation means payments or benefits without consideration of any performance criteria.

(l) “Good Reason” means, in the absence of the written consent of the Executive, one or more of the following occurrences: (i) a material diminution in the authority, duties, or responsibilities held by the Executive; (ii) a material reduction of the Executive’s Base Salary or incentive opportunity under the Company’s incentive programs, provided, however, that any reduction that is part of a broad-based reduction or reduction that is applicable to all similarly situated executives shall not be deemed “Good Reason” hereunder; (iii) relocation of the Executive’s primary workplace, as assigned to the Executive as of the Effective Date, beyond a fifty (50) mile radius from such workplace; (iv) any Successor to the Company declines to assume all of the Company’s obligations under this Agreement; or (v) any material breach by the Company of this Agreement. For purposes of this Agreement, any event described above shall constitute Good Reason only if: (i) the Executive delivers a Notice of Termination to the Company identifying the Good Reason event within ninety (90) days of the initial existence of such event; (ii) the Company fails to correct or cure such event within thirty (30) days of receipt of said Notice of Termination; and (iii) if uncured, the termination is effective (and the Termination Date shall be) as of the end of such thirty (30) day cure period. If the Company timely corrects or cures the condition giving rise to Good Reason for the Executive’s resignation, the Notice of Termination shall be deemed withdrawn and of no further force and effect. For purposes of Good Reason, the “authority, duties or responsibilities held by the Executive” shall mean the authority, duties, or responsibilities customarily associated with the Executive’s position in a company the size and nature of the Company. (m) “Products or Services” means products or services which are of the same kind as or of a materially similar kind to or competitive with any products or services sold, supplied, or under development by the Company or any Subsidiary within the twelve (12) months prior to the Termination Date. Fixed Compensation means the base salary and any other payment in respect of the holding of an office or employment that does not depend on variables that are unknown at the time the payment is determined, such as social benefits and perquisites, payments respect of a provident fund, pension, severance pay, annual vacation, continuing education fund, loss-of-work-capacity insurance, National Insurance contributions (the employer’s contribution), relocation expenses, convalescence pay, car expenses, cell phones, Internet services, vacation, holiday gift, as well as grossing up in respect of a car and in respect of cell phones.

  • Covered Compensation means any Incentive-Based Compensation granted, vested or paid to a person who served as an Executive Officer at any time during the performance period for the Incentive-Based Compensation and that was Received (i) on or after October 2, 2023 (the effective date of the Nasdaq listing standards), (ii) after the person became an Executive Officer, and (iii) at a time that the Company had a class of securities listed on a national securities exchange or a national securities association such as Nasdaq.

  • 414(s) Compensation means any definition of compensation that satisfies the nondiscrimination requirements of Code Section 414(s) and the Regulations thereunder. The period for determining 414(s) Compensation must be either the Plan Year or the calendar year ending with or within the Plan Year. An Employer may further limit the period taken into account to that part of the Plan Year or calendar year in which an Employee was a Participant in the component of the Plan being tested. The period used to determine 414(s) Compensation must be applied uniformly to all Participants for the Plan Year.

  • Gross compensation means every form of remuneration payable for a given period to an individual for services provided including salaries, commissions, vacation pay, severance pay, bonuses, and any board, rent, housing, lodging, payments in kind, and any similar benefit received from the individual's employer.

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • 415 Compensation means:

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);
