  • If at any time while you hold shares of Restricted Stock, the Fir Tree Investors wish to cause a Realization Event or Partial Realization Event to occur, the Fir Tree Investors shall notify the Company and you in writing (a “ Transaction Notice”) at least five (5) business days prior to the anticipated date of the proposed Realization Event or Partial Realization Event.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Other Investors shall have the meaning set forth in the Preamble.

  • Principal Shareholders means Xxxx X. Xxxx, Xxx X. Xxxxxxx and Xxxxx X. Xxxxxx, and their respective assignees or successors in interest.

  • NIM Securities Any debt securities secured or otherwise backed by some or all of the Class X and Class P Certificates that are rated by one or more Rating Agencies.
