Financing Price definition

Financing Price means the price per unit or conversion price of a class of units issued to the investors investing new money in the Company in connection with the initial closing of an Equity Financing.

Financing Price means the price per equity security or conversion price of an equity security or equity-linked security issued to the investors investing new money in the Company in connection with the initial closing of an Equity Financing.

Financing Price means the price per share or conversion price of one security issued to the investors investing new money in the Company in connection with the initial closing of an Equity Financing.

Examples of Financing Price in a sentence

• The number of shares of the CF Shadow Series of such Capital Stock shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Equity Financing Price.

• The number of shares of the CF Shadow Series of such Preferred Stock shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Financing Price.

• The number of shares of the CF Shadow Series of such Capital Stock shall equal the quotient obtained by dividing (x) the Purchase Amount by (y) the First Equity Financing Price (as defined below).

• If there is a Liquidity Event after one or more Equity Financings have occurred but before the termination of this instrument, the Investor will, at its option, either (i) receive a cash payment equal to the Purchase Amount (as described in the foregoing paragraph) or (ii) automatically receive from the Company a number of shares of the most recent issued Preferred Stock equal to the Purchase Amount divided by the First Financing Price, if the Investor fails to select the cash option.

• The number of shares of the CF Shadow Series of the Capital Stock (whether Preferred Securities or another class issued by the Company) shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Equity Financing Price.

More Definitions of Financing Price

Financing Price means the price per share or other unit at which the Company sells its equity securities, or debt securities convertible into Common Stock, in the first Financing following the date hereof.

Financing Price means the price per share or unit, as applicable, for the securities issued in the Qualified Financing.

Financing Price means the price paid for each Zodiac Subscription Receipt;
