Financing Notice definition

Financing Notice has the meaning set forth in Section 5.5(b).

Financing Notice means a notice in substantially the form of Exhibit A-4 hereto, with appropriate insertions.

• If in the Financing Notice Buyer informs Seller that the Financing Contingency has not been waived and/or satisfied, this Agreement shall automatically terminate and be null, void and of no further force and effect as of the date of the delivery of the Financing Notice to Seller and Escrow Holder, and the Deposit shall be returned to Buyer.

• PCL shall have the right to commence any off-site construction related activities for the Ballpark at its own initiative and expense (provided that such activities are consistent with this Agreement) and in the event the City issues any Off-Site Pre-City Financing Notice to Proceed, PCL shall be entitled to be reimbursed for any costs expended in connection therewith from the Design and Construction Fund pursuant to Article VII hereof.

• The Grantor’s option to repurchase the [*Premises*] pursuant to this paragraph shall expire and be of no force and effect on (i) the date on which Grantee delivers the Financing Notice to Grantor or (ii) if Grantee fails to deliver the Financing Notice on or before the Financing Deadline, then on or before the date which is ninety (90) days after the Financing Deadline.

• The Subsequent Financing Notice shall describe in reasonable detail the proposed terms of such Subsequent Financing, the amount of proceeds intended to be raised thereunder and the person or persons through or with whom such Subsequent Financing is proposed to be effected and shall include a term sheet or similar document relating thereto as an attachment.
