Financial Investors definition

Financial Investors means the financial investors of the Company as set forth in Schedule A hereto.

Financial Investors means each of (i) DLJ, (ii) the GSCP Parties and (iii) Providence, collectively.

Financial Investors shall have the meaning set forth in the preamble to this Agreement.

Examples of Financial Investors in a sentence

• It is clarified that Financial Investor(s) who become shareholders in the JVC pursuant to this Article 2.5(a) shall not, for a duration of five (5) years from the Effective Date, transfer the whole or any portion of the Transfer Shares to any Entity other than another Financial Investor.

• The Financial Investors and their wholly-owned Subsidiaries and investment funds are intended to be third-party beneficiaries of Sections 4.4 and 4.8 and the Financial Investors and such wholly-owned Subsidiaries and investment funds shall be entitled to enforce their respective rights as such under this Agreement.

More Definitions of Financial Investors

Financial Investors means the Foundation Members and each other Member designated as a Financial Investor in connection with the issuance of any Units to such Member.

Financial Investors shall have the meanings set forth in the preamble to this Agreement as updated pursuant to Section 2.2(c), in each case who hold as of such date of determination Equity Securities of the Company.

Financial Investors means Odin 3, LLC (“Odin 3”), Odin 4, LLC (“Odin 4”), Neoplux No. 1 Private Equity (“Neoplux”) and WB Atlas LLC (together with Odin 3, Odin 4, and Neoplux, the “Original Financial Investors”) and their direct and indirect transferees, if any, who become a party to this Agreement pursuant to Section 8(a).

Financial Investors means, collectively, the Original Financial Investors and any Affiliate of an Original Fund which would become a Direct Party as a result of a Transfer of Securities completed by a Financial Investor in accordance with this Agreement, provided that the Financial Investors shall be deemed at all times to constitute a single Direct Party for the purposes hereof;

Financial Investors means United Nutritional Brands LLC, Power Plant Ventures II, L.P., Power Plant Ventures II-A, L.P., OWYN SPV, LLC, Inherent Private Opportunities 2021, LP, and Purchase Capital LLC.
