Final Working Capital Adjustment definition

Final Working Capital Adjustment has the meaning ascribed thereto in Section 2.05(a).
Final Working Capital Adjustment means an amount (which may be positive or negative) equal to:
Final Working Capital Adjustment or “FWCA” means the adjustment determined in accordance with paragraph 14.3 of Schedule 8.1A (Franchise Payment);

  • If the Final Working Capital Adjustment (as finally determined pursuant to Section 2.05(b)) would otherwise be greater than $35,000,000, the Final Working Capital Adjustment shall be deemed to be $35,000,000.

  • If the Final Working Capital Adjustment (as finally determined pursuant to Section 2.05(b)) is positive, then on or before the second (2nd) Business Day after such final determination, Purchaser shall pay to Sellers, an aggregate amount equal to the Final Working Capital Adjustment to such account(s) as specified by NRGWG (on behalf of Sellers) by wire transfer of immediately available funds in U.S. Dollars.

More Definitions of Final Working Capital Adjustment

Final Working Capital Adjustment shall have the meaning given to that term in paragraph 10.3 of schedule 8.A (Franchise Payments) to the Franchise Agreement as effected by the EMA and all definitions related to "Final Working Capital Adjustment" shall have the meanings given to them in schedule 8.A (Franchise Payments) to the Franchise Agreement as effected by the EMA);
Final Working Capital Adjustment means the amount, which may be positive or negative, equal to (i) if the Final Working Capital exceeds the Estimated Working Capital, the amount by which the Final Working Capital exceeds the Estimated Working Capital, which amount shall be expressed as a positive number, (ii) if the Final Working Capital is less than the Estimated Working Capital, the amount by which the Estimated Working Capital exceeds the Final Working Capital, which amount shall be expressed as a negative number, or (iii) if the Final Working Capital is equal to the Estimated Working Capital, zero.
Final Working Capital Adjustment shall equal the difference between the Final Working Capital and the Estimated Working Capital (it being understood that the Final Working Capital Adjustment may be either a positive or a negative number).
Final Working Capital Adjustment means (i) if the SpinCo Working Capital as finally determined pursuant to Section 3.05 is within $3.0 million (plus or minus) of the SpinCo Target Working Capital, then zero (0), or (ii) if the SpinCo Working Capital as finally determined pursuant to Section 3.05 is at least $3.0 million more or less than the SpinCo Target Working Capital, then the SpinCo Working Capital minus the SpinCo Target Working Capital (which may be a positive or negative number).
Final Working Capital Adjustment shall be the Working Capital Adjustment set forth in the Final Closing Statement. The “Final Closing Net Accounts Receivable” shall be the Closing Net Accounts Receivable set forth on the Final Closing Statement.
Final Working Capital Adjustment shall be equal to (i) the Final Net Working Capital minus (ii) the Estimated Net Working Capital (it being understood that the Final Working Capital Adjustment may be either a positive or a negative number).
