Final Term Sheet definition

Final Term Sheet means the term sheet prepared pursuant to Section 4(a) of this Agreement and substantially in the form attached in Schedule III hereto;

Final Term Sheet means the final term sheet reflecting the final terms of the Securities in the form attached hereto as Schedule B.

Final Term Sheet means a final term sheet, containing solely a description of the Securities, in the form approved by the Representatives.

• Any such Final Term Sheet is an Issuer Free Writing Prospectus for purposes of this Agreement.

• The Company consents to the use by any Underwriter of a free writing prospectus that (a) is not an “issuer free writing prospectus” as defined in Rule 433, and (b) contains only (i) information describing the preliminary terms of the Notes or their offering, (ii) information permitted by Rule 134 under the Securities Act or (iii) information that describes the final terms of the Notes or their offering and that is included in the Final Term Sheet of the Company contemplated in Section 3(k).

• The Final Term Sheet is an Issuer Free Writing Prospectus for purposes of this Agreement.

• The Company will furnish to each Underwriter, without charge, copies of the Final Term Sheet promptly upon its completion.

• The Company hereby confirms that it has authorized the use of the General Disclosure Package, including the Preliminary Offering Memorandum and the Final Term Sheet, and the Final Offering Memorandum in connection with the offer and sale of the Securities by the Initial Purchasers.

More Definitions of Final Term Sheet

Final Term Sheet means the final term sheet attached as Schedule III to the Terms Agreement.

Final Term Sheet means the final term sheet containing a description of the Designated Securities, prepared and filed pursuant to Section 5(a) hereof, and set forth as an appendix to the applicable Pricing Agreement;

For purposes of this definition, information contained in a form of prospectus that is deemed retroactively to be a part of the Registration Statement pursuant to Rule 430B shall be considered to be included in the Statutory Prospectus only at the actual time that such form of prospectus is filed with the Commission pursuant to Rule 424(b).
