Final Conversion Trigger Event definition

Final Conversion Trigger Event means the earliest to occur of (i) the ten (10) year anniversary of the Closing, (ii) the date specified in writing by the holders of two-thirds of the then outstanding shares of Class B Common Stock, voting as a separate class; and (iii) when the number of then outstanding shares of Class B Common Stock represents less than 10.0% of the total number of shares of Class A Common Stock and Class B Common Stock.
Final Conversion Trigger Event means the earliest to occur of any of the following (i) 5:00 p.m. in New York City, New York on the first Trading Day following the six (6) month anniversary of the death or Incapacity of the Founder; (ii) 5:00 p.m. in New York City, New York on the Trading Day fixed by the Board of Directors that is no less than 120 days and no more than 180 days following the date that the number of shares of Class B Common Stock outstanding is less than 20% of the number of shares of Class B Common Stock outstanding as of the Effective Time; and (iii) the date that holders of a majority of the then outstanding shares of Class B Common Stock, voting as a separate class, approve the conversion of all outstanding shares of Class B Common Stock in accordance with Section 6(c) of Part D of Article IV.
Final Conversion Trigger Event means the earliest to occur of any of the following (i) the occurrence of the six (6) month anniversary of the death or Incapacity of the Founder; (ii) the occurrence of the six (6) month anniversary of the date that the Founder is no longer providing services to the Corporation as an officer, employee, director or consultant, (iii) the twentieth (20) year anniversary of the date of the closing of the Corporation’s first firm commitment underwritten public offering pursuant to an effective registration statement under the Securities Act in connection with an offering of its securities on the Securities Exchange, (iv) the date of approval of a Final Conversion Trigger Event by the holders of a majority of the then outstanding shares of Class B Common Stock, voting as a separate class.

More Definitions of Final Conversion Trigger Event

Final Conversion Trigger Event means the earliest to occur of any of the following:(i)the date specified by the holders of at least a majority of the then outstanding shares of Class B Common Stock, voting as a separate class;(ii)the first date on which the Qualified Stockholders collectively cease to beneficially own at least 20% of the number of shares of Class B Common Stock (as such number of shares is equitably adjusted in respect of any reclassification, stock dividend, subdivision, combination or recapitalization of the Class B Common Stock) collectively held by the Qualified Stockholders immediately following the Effective Time;(iii)the occurrence of the nine (9) month anniversary of the death or Disability of the Founder; provided that such date may be extended (but not for a total period of longer than eighteen (18) months from the date of such death or Disability) to a date approved by a majority of the Independent Directors then in office.
Final Conversion Trigger Event means the first to occur of: (i) the death or Incapacity of the Designated Person; (ii) the date upon which the Designated Person is no longer employed by the Company as its Chief Executive Officer for Cause (iii) if the Designated Person was not employed as the Chief Executive Officer of the Company for at least five years following the date of the closing of the Company’s initial public offering, the date when the Designated Person is no longer employed by the Company as its Chief Executive Officer; and (iv) if the Designated Person was employed as the Chief Executive Officer of the Company for at least five years following the date of the closing of the Company’s initial public offering, the earlier of: (a) the date the Designated Person ceases to be employed as the Chief Executive Officer of the Company and ceases to be a member of the board of directors of the Company; and (b) if the Designated Person continues to be a member of the board of directors of the Company upon ceasing to be employed as the Chief Executive Officer of the Company, the date that is two (2) years after the date the Designated Person first ceases to be employed as the Chief Executive Officer of the Company without regard to whether the Designated Person is a member of the board of directors on such second anniversary;
Final Conversion Trigger Event means the first to occur of:
Final Conversion Trigger Event means the earliest to occur of any of the following (i) the Trading Day that is no less than 90 days and no more than 150 days following the twenty (20) year anniversary of the filing of this Thirteenth Amended and Restated Certificate of Incorporation; (ii) the date on which the Founder is no longer providing services to the Company as an executive officer or director; and (iii) the Trading Day that is no less than 90 days and no more than 150 days following the date that the Founder and his controlled entities hold, in the aggregate, fewer than ten million (10,000,000) shares of the Company’s capital stock (as adjusted for stock splits, stock dividends, combinations, subdivisions and recapitalizations).
Final Conversion Trigger Event means the earliest to occur of any of the following (i) the twenty (20) year anniversary of the filing of the Company’s Certificate of Amendment to the Ninth Amended and Restated Certificate of Incorporation, which is March 15, 2041; (ii) the date on which the Founder is no longer providing services to the Company as an executive officer or director; and (iii) the date that the Founder and his controlled entities hold, in the aggregate, fewer than ten million (10,000,000) shares of the Company’s capital stock (as adjusted for stock splits, stock dividends, combinations, subdivisions and recapitalizations).

  • Final Conversion Date means 5:00 p.m. in New York City, New York on the earlier to occur following the IPO of (i) the first Trading Day falling on or after the date on which the outstanding shares of Class B Common Stock represent less than ten percent (10%) of the aggregate number of shares of the then outstanding Class A Common Stock and Class B Common Stock, (ii) the tenth (10th) anniversary of the IPO or (iii) the date specified by affirmative vote of the holders of a majority of the outstanding shares of Class B Common Stock, voting as a single class.

  • Make-Whole Fundamental Change Conversion Period has the following meaning:

  • Trigger Event Date means a date on which a Trigger Event has occurred as determined by the Calculation Agent.

  • Conversion Event means the cessation of use of (i) a Foreign Currency both by the government of the country which issued such currency and for the settlement of transactions by a central bank or other public institutions of or within the international banking community, (ii) the ECU both within the European Monetary System and for the settlement of transactions by public institutions of or within the European Communities or (iii) any currency unit (or composite currency) other than the ECU for the purposes for which it was established.

  • Auto-Call Trigger Event means an event which occurs if, in the determination of the Calculation Agent, the Index Performance as of the Valuation Time on an Auto-Call Valuation Date is greater than or equal to the relevant Auto-Call Trigger Level.

  • Trigger Event shall have the meaning specified in Section 14.04(c).

  • Major conversion means a conversion of an existing ship:

  • Conversion Period means the period of time commencing on the eighth day after the Offer Date and terminating on the Expiry Date;

  • Change of Control Triggering Event means the occurrence of both a Change of Control and a Rating Event.

  • Applicable Conversion Rate means the Conversion Rate in effect at any given time.
