FILO Event of Default definition

FILO Event of Default means (i) an Event of Default under Section 8.01(a) with respect to the FILO Loans or any other FILO Obligations, (ii) an Event of Default under Section 8.01(a) with respect to the Obligations (other than the FILO Obligations) as a result of failure of the Borrowers to pay all such Obligations then due and owing due on the earlier of the Maturity Date or the date on which the maturity of such Obligations is accelerated pursuant to Section 8.02(a)(ii), and (iii) an Event of Default under Section 8.01(b) or Section 8.01(c), as applicable, but only to the extent such Event of Default arises from the Loan Partiesfailure to comply with the provisions of Section 6.02(c) or Section 7.11. Each determination of whether a FILO Event of Default has occurred and is continuing shall be made without giving effect to any waiver or modification of any such provision effected pursuant to the terms hereof without the consent of the FILO Agent.
FILO Event of Default means (i) an Event of Default under Section 10.1(a) with respect to the FILO Loan, (ii) an Event of Default under Section 10.1(a) with respect to the Obligations (other than the FILO Liabilities) then due and owing on the Revolving Credit Termination Date, (iii) an Event of Default under Section 10.1(b)(iii), but only to the extent such Event of Default arises from the Loan Partiesfailure to comply with the provisions of Sections 7.4(a) or 7.4(b), and (iv) an Event of Default under Section 10.1(b)(i), but only to the extent such Event of Default arises from the Loan Parties’ failure to comply with the provisions of Sections 6.1 or 9.14.
FILO Event of Default means (a) an Event of Default under Section 8.01(a) with respect to the FILO Loans or any other FILO Obligations, (b) an Event of Default under Section 8.01(a) with respect to the Obligations (other than the FILO Obligations) as a result of failure of the Borrowers to pay all such Obligations then due and owing due on the Termination Date for the Revolving Facility and (c) an Event of Default under Section 8.01(b) or Section 8.01(c), as applicable, but only to the extent such Event of Default arises from the Loan Partiesfailure to comply with the provisions of Section 6.02(b), Section 6.20 or Section 7.15. Each determination of whether a FILO Event of Default has occurred and is continuing shall be made without giving effect to any waiver or modification of any such provision effected pursuant to the terms hereof without the consent of the FILO Agent.

Examples of FILO Event of Default in a sentence

  • If at any time at any time a FILO Event of Default has occurred and is continuing or Availability is less than 25.0% of the Combined Loan Cap, the Administrative Agent shall fail to maintain Availability Reserves in respect of any Secured Bank Product Agreement or Secured Hedge Agreement as and to the extent required by this Section 9.15, the FILO Agent may include such Reserve against the FILO Borrowing Base.

  • Any Availability Reserve established pursuant to this Section 9.15(a) shall automatically be released and no longer required from and including the date of which such FILO Event of Default is no longer continuing or, if such Availability Reserve has been imposed pursuant to clause (ii) above, the date of which the Borrower have delivered a Borrowing Base Certificate evidencing Availability equal to or in excess of the level indicated in this Section 9.15(a).

  • PTC Event of Default means, with respect to each Trust Agreement, the failure to pay within 10 Business Days after the due date thereof: (i) the outstanding Pool Balance of the applicable Class of Certificates on the Final Legal Distribution Date for such Class or (ii) interest due on such Certificates on any Distribution Date (unless the Subordination Agent shall have made an Interest Drawing or a withdrawal from the Cash Collateral Account relating to a Liquidity Facility for such Class, with respect thereto in an aggregate amount sufficient to pay such interest and shall have distributed such amount to the Trustee entitled thereto).

  • Event of Default has the meaning specified in Section 8.01.

  • Senior Event of Default means an Event of Default under a Senior Financing Agreement.

  • Collateral Event of Default has the meaning set forth in Section 13.01(b).

  • Specified Event of Default means an Event of Default under Section 7.01(a), (b), (h) or (i).
