FF&E Reserve Funds definition

FF&E Reserve Funds shall have the meaning set forth in Section 9.2(b) hereof.

• Tenant grants to Landlord a first-priority security interest in the FF&E Reserve and all FF&E Reserve Funds, as additional security for performance of Tenant’s obligations under this Lease.

FF&E Reserve Funds. Notwithstanding the foregoing, for so long as the Accor Management Agreement (or another Management Agreement with a Qualified Hotel Manager) is in full force and effect and Borrower or Operating Tenant is making such payments into the Replacement Reserve under the Accor Management Agreement (or into a replacement reserve pursuant to another Management Agreement with a Qualified Hotel Manager), the foregoing payments and disbursement conditions set forth herein shall be suspended.

Any change in the Substitute Base Rate due to a change in the Prime Rate or the NYFRB Rate shall be effective from and including the effective date of such change in the Prime Rate or the NYFRB Rate. For the avoidance of doubt, if the Fixed Rate as determined above would be less than three and three-quarters percent (3.75%) per annum, such rate shall be deemed to be three and three-quarters percent (3.75%) per annum. “Flood Insurance Acts” shall have the meaning set forth in Section 9.1 hereof. “Food License” means any licenses or permits required by any Governmental Authority in order to operate any food or beverage service or establishment at the Property, including, without limitation, in-room dining at the Hotel. “Franchise Agreement” shall mean, individually and/or collectively, as the context may require, (i) that certain Franchise Agreement, dated as of November 8, 2016, by and between
