Transporter’s Failure to Accept FERC Certificate On or before February 28, 2021, Transporter shall have accepted the FERC Certificate to install, construct, acquire and/or secure the Project Facilities and to provide the proposed Firm Service pursuant to the terms and conditions specified herein.
If at any time prior to Transporter’s acceptance of the FERC Certificate, Transporter determines, in its reasonable sole discretion, that all or any applicable portion of the Project would not be economic, then Transporter shall have the right to terminate this Precedent Agreement and/or the FTS Agreement, as applicable, without liability to Shipper.
Subject to the following and to the other provisions of this Loop Agreement, WIC shall make good faith efforts to achieve a Loop In-Service Date of December 1, 2001, subject to timely receipt by WIC of the FERC Certificate and all other necessary permits and authorizations for the construction and operation of the Loop.
Provided however, if Enron believes that a FERC Certificate prevents WIC from complying with such obligations in a materially adverse way or modifies in a materially adverse way the services to be provided to Enron or the rates to be charged Enron under the Loop FTSA, then Enron shall notify WIC thereof in writing.
The obligations of Customer under this Agreement and the Firm Transport Agreement are expressly subject to the satisfaction of the following conditions precedent: 7 CONFIDENTIAL TREATMENT REQUESTED (1) Submission by the Pipeline of its FERC Certificate Application by January 31, 2018; and (2) Commencement by Pipeline of construction of the Project Facilities by November 30, 2019.
If requested by Seller, and agreed to in writing by the DQ Parties, Buyer shall use reasonable efforts to cause Southern LNG to delay, by a period of not less than six (6) months, the reactivation of the LNG Terminal, provided that (i) such delay is allowed by and consistent with the FERC Certificate and the Certificate Amendment, and (ii) Seller pays one hundred percent (100%) of any increased costs incurred by Buyer or Southern LNG in connection with such delay.
