Fair Market definition

Fair Market. Value" of a share of Common Stock on a specified date means:
Fair Market value” may be conclusively established by means of an Officer’s Certificate or a resolution of the Board of Directors of the Company setting out such fair market value as determined by such Officer or such Board of Directors in good faith.

If for any day the Fair Market Value of a share of any Company Series A Common Stock or Company Series B Common Stock is not determinable by any of the foregoing means, then the Fair Market Value for such day shall be determined in good faith by the Company Board on the basis of such quotations and other considerations as the Company Board deems appropriate.

Fair Market. Value" of any shares of Common Stock issued or issuable upon exercise of the Warrants shall mean the fair market value of such shares on the date of determination, which shall be determined as follows:
