Failure to Schedule to Take definition

Failure to Schedule to Take means the failure, where such failure is not due to a Force Majeure Event (as such term is defined in Schedule “K”), of a Buyer or Exchange to schedule to take at any time prior to 2:30pm Central Prevailing Time of the day following the Physical Power Delivery Date any portion of the Contract Quantity to be scheduled in accordance with a Physically Settled Futures Power Transaction as determined by the applicable Transmission Provider and as more particularly set forth in Schedule “K”;

  • Lost or missing licensed material means licensed material whose location is unknown. This definition includes licensed material that has been shipped but has not reached its planned destination and whose location cannot be readily traced in the transportation system.

  • Company Material Contracts has the meaning set forth in Section 3.18(a).

  • Schedule Supplement has the meaning set forth in Section 6.03.

  • Schedule 13E-3 has the meaning specified in Section 4.2(a).

  • Exhibits means the several exhibits referred to and identified in this Agreement.

  • Safety Data Sheet means a safety data sheet within the meaning of regulation 5 of the CHIP Regulations;

  • Adverse Disclosure means any public disclosure of material non-public information, which disclosure, in the good faith judgment of the Chief Executive Officer or principal financial officer of the Company, after consultation with counsel to the Company, (i) would be required to be made in any Registration Statement or Prospectus in order for the applicable Registration Statement or Prospectus not to contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained therein (in the case of any prospectus and any preliminary prospectus, in the light of the circumstances under which they were made) not misleading, (ii) would not be required to be made at such time if the Registration Statement were not being filed, and (iii) the Company has a bona fide business purpose for not making such information public.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Disclosure Order has the meaning set forth in Section 10.7.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • E-Auction Process Information Document means this document including all the appendices hereto, for the purposes of setting out the process for submission of a bid and selection of Successful Bid in accordance with the provisions of the IBC and shall include all supplements, modifications, amendments, alterations or clarifications thereto issued in accordance with the terms hereof.

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Seller Disclosure Schedules means the disclosure schedules of Seller delivered by Seller pursuant to this Agreement.

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).
